RESOLUTION NO. 2013- z)39 <br /> A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF <br /> SUNNY ISLES BEACH, FLORIDA, APPROVING A SUBLEASE <br /> AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH, <br /> AMERICAN FEDERATED TITLE CORPORATION, AS <br /> TRUSTEE UNDER FLORIDA LAND TRUST #3258, AND SUNNY <br /> ISLES BEACH QUARTERDECK, LLC, OR ASSIGNEE, A <br /> FLORIDA LIMITED LIABILITY COMPANY, IN <br /> SUBSTANTIALLY THE SAME FORM ATTACHED HERETO AS <br /> EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE <br /> SAID SUBLEASE AGREEMENT; PROVIDING THE CITY <br /> MANAGER AND THE CITY ATTORNEY WITH THE <br /> AUTHORITY TO DO ALL THINGS NECESSARY TO <br /> EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN <br /> EFFECTIVE DATE. <br /> WHEREAS, American Federated Title Corporation, as trustee under Florida Land Trust <br /> #3258 ("American Federated") is the tenant under that certain Lease Agreement dated July 26, <br /> 2013, between the City of Sunny Isles Beach ("City") and American Federated, as tenant, (the <br /> "Prime Lease") regarding the lease of the premises located at 16501 Collins Avenue, Sunny Isles <br /> Beach, Florida 33160 (the "Prime Lease Premises") consisting of an entire building (the <br /> "Building") in the project known as Newport Fishing Pier in the City; and <br /> WHEREAS, American Federated desires to lease to Sunny Isles Beach Quarterdeck, <br /> LLC, a Florida limited liability company ("Quarterdeck") the entire Prime Lease Premises which <br /> consists of a restaurant facility, bait shop, second floor of restaurant facility and additional <br /> outdoor dining area in the Prime Lease (the "Sublease Premises"), as more particularly described <br /> in the Sublease Agreement in substantially the same form attached hereto as Exhibit"A". <br /> NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE <br /> CITY OF SUNNY ISLES BEACH, FLORIDA,AS FOLLOWS: <br /> Section 1. Approval of the Sublease Agreement. The Sublease Agreement between the City <br /> of Sunny Isles Beach, American Federated Title Corporation, as trustee under Florida Land Trust <br /> #3258, and Sunny Isles Beach Quarterdeck, LLC, or assignee, a Florida limited liability <br /> company, is hereby approved in substantially the same form attached hereto as Exhibit "A". <br /> Section 2. Authorization of Mayor. The Mayor is authorized to execute said Sublease <br /> Agreement. <br /> Section 3. Authorization of City Manager and City Attorney. The City Manager and City <br /> Attorney are hereby authorized to do all things necessary to effectuate the terms of this <br /> Resolution. <br /> Page 1 of 2 <br />
