22. End of Term. <br /> 22.1 Surrender. Subtenant shall, at the termination or expiration of this Sublease, <br /> surrender the keys to the Sublease Premises to Sublessor. Subtenant shall surrender the Sublease <br /> Premises at the expiration or sooner termination of the Sublease Term vacant, free of all <br /> occupancies and tenancies, free of all Subtenant's personal property and equipment, broom clean, <br /> and in the same condition as when Subtenant took possession, reasonable wear and tear excepted. <br /> Tenant's alterations and improvements shall remain to the extent required by the Prime Lease. <br /> Upon the expiration of this Sublease, or if Sublessor or the Landlord re-enters or re-takes <br /> possession of the Sublease Premises prior to normal expiration of this Sublease, Sublessor or the <br /> Landlord shall have the right, but not the obligation, to remove from the Sublease Premises all <br /> personal property located therein belonging to Subtenant, and either party may place the property <br /> in storage at the expense and risk of Subtenant. <br /> 22.2 Holding Over. Any holding over at the expiration or sooner termination of this <br /> Sublease with the consent of Sublessor shall at Sublessor's option be on a month-to-month basis at <br /> double the monthly Base Rent prior to the expiration or sooner termination hereof, which tenancy <br /> may thereafter be terminated as provided by the laws of the state in which the Sublease Premises <br /> are located. During any holdover without Sublessor's consent, Subtenant shall pay as fair rental <br /> value damages double the rate of rental on a monthly basis as was in effect immediately prior to <br /> the termination of this Sublease, plus any other damages, consequential or otherwise, suffered by <br /> Landlord and Sublessor and arising from or out of, or in connection with, such holdover, and shall <br /> be bound by all the terms and conditions of this Sublease. Subtenant shall defend, indemnify, and <br /> hold harmless Sublessor from any damages, losses, costs and expenses (including reasonable <br /> attorneys' fees) resulting from such holdover. <br /> 23. Successors and Assigns. The covenants and agreements of this Sublease shall be binding <br /> on and inure to the benefit of the successors, assigns, and transferees of Sublessor and the <br /> permitted successors, assigns, and transferees of Subtenant. <br /> 24. Notices. All notices, demands, requests, consents, approvals or other communications <br /> (collectively, "Notices") required or permitted to be given hereunder or which are given with <br /> respect to this Sublease shall be effective only if in writing and delivered by personal service, or <br /> delivered to an overnight courier service with guaranteed next day delivery or mailed by <br /> registered or certified mail, return receipt requested, postage prepaid, addressed as hereinafter <br /> provided.
