EP]EDMUNDS <br />& ASSOCIATES <br />Simple. . Solutions. <br />For purposes of the Contract, the term "Acceptance" shall be defined as follows with respect to each of <br />the categories listed. In each and every case, the acceptance document must have the signature of the <br />CITY's authorized agent or his designee (CITY's Project Manager): <br />Performance tasks and acceptance tests for each software application module will include: <br />As agreed upon during the Project, the Project Managers for both VENDOR and CITY will log <br />anomalies during the training and acceptance period -- Report on error messages, reporting <br />failures, failures of functions such as menus, variance from VENDOR'S Proposal, interfaces, data <br />conversions, link from application to spreadsheet, universal customer and so on. CITY will log <br />anomalies during the training and acceptance period to include but not limited to error messages, <br />reporting failures, failures of hardware functions. VENDOR will setup and maintain a <br />training /testing application database. <br />Software Acceptance will be conferred on the basis of individual applications and when mutually agreed <br />to, on a partial application basis. Accounts payable, accounts recei�lable, are examples of what constitutes <br />individual applications. The acceptance of the functionality of the software will be conferred in <br />accordance with its ability to complete successfully the requirements set forth in the VENDOR's <br />Proposal, acceptance test, the brochures, and the documentation. <br />Application software modules as specified in the Final Exhibits hereto will be installed on the <br />computer hardware per the schedule contained therein. These application software modules <br />will be scheduled for training in a timetable mutually acceptable to both parties, and accepted <br />by CITY when CITY employees are trained in that application and the application performs in <br />conformance with this Contract. The CITY will notify VENDOR in writing upon acceptance of <br />each application module. <br />Application Software Acceptance <br />Application Software will be installed by VENDOR on the computer hardware in accordance with the <br />timetable set forth in Exhibit B. <br />CITY personnel will be trained by VENDOR in the use of the Application Software. <br />VENDOR shall provide CITY written certification upon completion of the training. <br />CITY agrees to accept the application software with respect to each application installed, <br />of which there shall be a performance period not to exceed thirty (30) working days. <br />The performance period shall commence on the first workday after receipt by CITY that <br />training on the appropriate application software is complete. It is hereby understood that <br />the "performance period" begins after training, implementation consulting, modification <br />development, conversion and documentation is completed, by individual application. <br />During the Performance Period, as herein defined., CITY shall operate the application <br />software in accordance with CITY's normal (or new, based on SOW findings) operating <br />
