NG&N regularly serves in the traditional roles of bond counsel, underwriter's counsel,disclosure counsel/ special counsel, trustee's counsel, issuer's counsel and bank's counsel in awide variety of tax-exempt and taxable governmental financings. NG&N is also a leader in themarket with respect to more non-traditional public finance areas such as derivatives/ taxmatters and public-private financings. NG&N has developed a reputation throughout the Stateof Florida for providing innovative solutions for complex financing problems. Over the last fiveyears, we have served as bond counsel in approximately 600 financings with an approximateaggregate bond amount of $18.4 billion. During such period of time, we have also served asDisclosure Counsel in approximately 180 transactions with an aggregate principal amount ofapproximately $19.8 billion and as underwriter's counsel in approximately 100 transactionswith an aggregate principal amount of approximately $5.3 billion. For calendar year 2016,NG&N was the number 1 ranked bond counsel firm in the State and number 2 in the Southeastregion of the United States according to rankings published in The Bond Buyer, and the number1 ranked disclosure counsel in the State according to Securities Data Corporation (ThomsonReuters). For 2017, the Firm was ranked number 3 in the State and number 9 in the southeastregion by The Bond Buyer.Contracts, Procurement and Commercial PracticeThe City's legal counsel must be equipped and able to provide legal representation tothe City as needed in the transaction of city business in the areas of contracts, procurement,and commercial law. These services cover a wide range of issues related to public works/community services, and operational management of the City, including commercial andbusiness law services related to contracts and their performance, public procurement/ andspecial forms of agreements available to cities, such as interlocal agreements, and licenseagreements.The City's legal counsel must review/ revise and draft contracts with public and privatesector entities, including documents for the construction of public facilities and infrastructure,as well as consulting/ engineering, and other agreements for professional services. Additionally,the City's legal counsel must review all real property leases, licenses, and concessions, a varietyof vendor agreements, franchise agreements, and other contractual relationships between theCity and other governmental entities.NG&N has demonstrated experience in all aspects of contract, procurement, andcommercial law. Similarly, NG&N attorneys have vast experience with franchises, licenses/ andother contractual arrangements. For example, we recently assisted both Levy County andNassau County with solid waste franchise and licensing issues. Similarly/ NG&N has successfullycompleted numerous land acquisitions and sales on behalf of our clients/ including the draftingand negotiating of the purchase and sale agreements, the drafting of all necessary assettransfer instruments and the provision of title insurance.
