MINUTES OF THE BOARD OF DIRECTORS <br />OF <br />AZULEJO INC. <br />The Board of Directors ("Board") of the AZULFJO, INC. ("Corporation") was called to <br />order on September 5, 20 i 4 at 8:30 AM at 8105 N.W. 155 Street, Miami Lakes, Florida 33015 at the <br />law office of Lorenzo Cobiella, Esq. All notice requirements provided for by the by-laws of the <br />Corporation are hereby waived as the sole member of the Board, Jorge Lonegro, deceased was <br />represented by and through his wife and personal representative, Mrs. Leyvis Quintana who was <br />present and said meeting had a quorum present and voting throughout. Besides Mrs. Leyvis <br />Quintana, Lorenzo Cobiella, Esq., and Ms. Yaima Vega were also in attendance as guests. The <br />purpose of the Board meeting was to vote a new board or directors in light of Mr. Jorge Lonegro's <br />untimely death, and the Court Order signed on September 4, 2014 in the matter In Re. Jorge <br />Lonegro, Miami -Dade County Court, Probate Division Case Number 2014 3473 CP 04. <br />With respect to the actions contemplated, the Board decided as follows: <br />FURTHER RESOLVED, that Mrs. Leyvis Quintana shall be elected to serve as president <br />and chairman of the board of directors, of Azulej o Incorporated. <br />FURTHER RESOLVED, that Mrs. Leyvis Quintana shall have all the authority vested in the <br />office of president of Azulejo Incorporated to make any decisions necessary for the carrying <br />out of the day to day operations of said company. <br />FURTHER RESOLVED, that Mrs. Leyvis Quintana shall carry out the functions specifically <br />authorized in the Court Order signed on September 4, 2014, in the matter In Re.
