FIRST AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND OTIS ELEVATOR • .• COMPANY CONTRACT NO. 2019-2451-001 This.First Amendment to the Agreement between the CITY OF SUNNY ISLES BEACH ("City") and OTIS ELEVATOR COMPANY ("Contractor") executed this 1 day of i/1(f1. ,2019,is made a part of the original Agreement("Agreement")dated August 25, 2017, Co Tact No. C2451-1617-072 (the "Agreement"), incorporated herein by reference, between the City, whose Federal Identification # is 13-5583389. The City and Contractor hereby agree as follows: 1. OPTION TO RENEW. The City hereby wishes to exercise ils option to renew the Agreement fora three(3)year term in accordance with Section 5 of the original Agreement.This First Amendment shall become effective upon being signed by both Parties, as further detailed in Attachment "A", attached hereto. 2. EFFECTIVE DATE OF RENEWAL TERM. The Effective Date of this First Amendment shall commence June I,2019 and shall terminate no later than May 31,2022. 3. COMPENSATION. Effective June 1, 2019, the Parties wish to amend Section 6 of the original Agreement("Compensation")to reflect the amount not to be exceeded for the performance of Services during this three(3)year renewal period as FOURTY-NINE THOUSAND SIX HUNDRED EIGHTY DOLLARS ($49,680.00). In addition, a contingency amount is provided of FIVE THOUSAND DOLLARS ($5,000.00) per year for a total amount of FIFTEEN THOUSAND DOLLARS(S 15,000.00)over the three-year renewal period.The contingency amount shall not be paid to Contractor unless it is determined by the City to be necessary.The monthly not to exceed amount shall be reflected as ONE THOUSAND THREE HUNDRED EIGHTY DOLLARS($1,380.00). This is further detailed in Attachment"A",attached hereto. 5. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein,all terms and conditions of the original Agreement between the parties, dated August 25, 2017, shall remain in full force and effect. 6. CONFLICTING PROVISIONS. The terms, statements, requirements, or provisions contained in this First Amendment shall prevail and be given superior effect and priority over any conflicting or inconsistent terms, statements, requirements or provisions contained in any other document or attachment, including but not limited to Attachment"A".
