Closing Affidavit <br /> (Seller) <br /> Before me, the undersigned authority, personally appeared SAMUEL GOLBERG (the "Affiant"),who <br /> being by me first duly sworn or affirmed, on oath,deposes and says that: <br /> 1. WINSTON TOWERS 600 CONDOMINIUM ASSOCIATION, INC., a Florida not for profit <br /> corporation(the"Seller"),is the owner of and is granting certain a certain permanent easement in and <br /> to the following described property to THE CITY OF SUNNY ISLES BEACH, FLORIDA, a <br /> municipal corporation organized under the laws of the State of Florida(the"Buyer"),to wit: <br /> See EXHIBIT"A"attached herein and incorporated herein(the"Real Property") <br /> 2. Affiant is the President of Seller's Board of Directors. <br /> 3. There have been no improvements,alterations,or repairs to the Real Property,the costs thereof remain <br /> unpaid,and,to Affiant's knowledge,there are no claims for labor or material furnished for repairing or <br /> improving the Real Property which remain unpaid. <br /> 4. Seller has not and will not execute or record any documents in the Public Records of Miami-Dade <br /> County,Florida which adversely affect title to the Real Property. <br /> 5. Neither Seller nor Affiant are the subject of any proceedings in bankruptcy,receivership or insolvency. <br /> 6. Seller understands that Section 1445 of the Internal Revenue Code provides that a buyer of a United <br /> 'States real property interest must withhold tax if the seller is a foreign person. To inform Buyer that <br /> withholding of tax is not required upon purchase of the easement in and to the above described property, <br /> Seller certifies the following: <br /> a. Seller is not a nonresident alien individual, foreign corporation, foreign partnership, foreign trust <br /> or foreign estate for purposes of United States federal income taxation. Seller is not a disregarded <br /> entity. <br /> b. Seller's U.S.Taxpayer Identification Number is: 59-2136492. <br /> c. Seller's address is: 210 174th Street,Sunny Isles Beach,Florida 33160. <br /> Seller understands that Buyer intends to rely on the foregoing representations in connection with the <br /> United States Foreign Investment in Real Property Tax Act (FIRPTA). Seller understands this <br /> certification may be disclosed to the Internal Revenue Service by Buyer and that any false statements <br /> contained in this certification may be punished by fine,imprisonment or both. Seller has the authority <br /> to sign this affidavit as either an individual or on behalf of an entity.
