AGREEMENT BETWEEN THE CITY OF SUNNY ISLES <br />BEACH AND LANDSCAPE FORMS <br />CONTRACT NO. C1314 -028 <br />T_ IS AGREEMENT (hereinafter referred to as the "Agreement`) is made in duplicate, <br />this 2'1 Today of UJA 2014, by and between the CITY OF SUNNY ISLES BEACH, <br />(hereinafter referre to as "Ci "), and LANDSCAPE FORMS, a corporation authorized to do <br />business in the State of Florida (hereinafter referred to as "Contractor') whose Federal I.D. # is <br />38. 18915'7'1 <br />RECITALS <br />WHEREAS, the City is in need of contractor to manufacture and deliver carousel tables, <br />umbrellas, benches, 30 gallon litter containers, a bike rack and lighting for the Intracoastal Parks, <br />( "Services ").- and <br />WHEREAS, Contractor has expressed the ability and desire to provide these Services <br />subject to the terms and conditions contained herein; and <br />WHEREAS, the City desires to enter into an Agreement with Contractor to provide <br />these Services in a total amount not to exceed One Hundred Four Thousand Five Hundred Fifty - <br />Two Dollars and Seventy Cents ($104,552.70), as more fully described in Attachment "A" which <br />is attached hereto; and <br />NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, <br />representations and warranties and other good and valuable consideration, the receipt and <br />adequacy of which is hereby acknowledged, the parties agree as follows: <br />1. RECITALS. The Recitals set forth above are hereby incorporated into this agreement <br />and made a part hereof for reference. <br />2. SERVICES. Contractor shall manufacture and deliver carousel tables, umbrellas, <br />benches, 30 gallon litter containers, a bike rack and lighting for the Intracoastal Parks, as more <br />particularly described in Attachment "A" attached hereto and made a part hereof. The Services <br />shall be performed by Contractor to the full satisfaction of the City. Contractor agrees to have a <br />qualified representative to audit and inspect the Services provided on a regular basis to ensure all <br />Services are being performed in accordance with the City's needs and pursuant to the terms of <br />this Agreement, and shall report to the City accordingly. Contractor agrees to immediately <br />inform the City via telephone and in writing of any problems that could cause damage to the <br />City's property, improvements and persons. Contractor will require its employees to perform <br />their work in a manner befitting the type and scope of work to be performed. <br />3. TERM. Subject to the provisions relating to the termination of this Agreement as set <br />forth in Section 8 below, this Agreement shall commence from the date of execution of this <br />Agreement and shall terminate April 10, 2014. <br />4. COMPENSATION. The Contractor agrees to provide the desired Services to the City <br />in a total amount not to exceed One Hundred Four Thousand Five Hundred Fiftv -Two Dollars <br />C1314-028 -LANDSCAPE FORMS Exhibit "A" <br />
