each Customer all reasonable assistance in locating and recovering any Products or recalled Products that are not in accordance with the requirements of the Contract. Each Contractor shall immediately notify and provide copies to the Department of any communications, whether relating to recalls or otherwise, with any Customer. The _ Contractor, at its own cost, shall ensure defective Commodities are rectified, replaced or destroyed in compliance with all applicable laws, rules or regulations and the Department's reasonable instructions. XXIX. Contract Transition Upon Contract expiration or termination, the incumbent shall ensure a seamless transfer of contract responsibilities with any subsequent Contractor necessary to transition the Products and services of this Contract. The incumbent Contractor and subsequent Contractor assume any and all expenses related to the contract transition. XXX. Amendments No oral modifications to this Contract are permitted. All modifications to this Contract must be in writing and signed by both Parties. Notwithstanding the order listed in Section 3, amendments executed after the Contract is executed may expressly change the provisions of the Contract. If they do so expressly,then the most recent amendment will take precedence over anything else that is part of the Contract. IN WITNESS THEREOF, the Parties hereto have caused this Contract, which includes the attached and incorporated Exhibits, to be executed by their undersigned officials as duly authorized.
