sy4x�eir3, i14 At' "AGREEMENT BETWEEN THE CITY OF SUNNY ISLES-BEACH AND JACOBER & ASSOCIATES, INC. D/B/A JACOBER " CREATIVE -- CONTRACT NO. C2019-7226 THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this 6 day of 11, 2019, by and between.the CITY OF SUNNY ISLES BEACH,.Florida, (hereinafter referred to as "City"), and JACOBER &.ASSOCIATES, INC., d/b/a JACOBER CREATIVE, a Florida corporation (hereinafter referred to as "Contractor"), whose Federal T.D. # is 65-1111748. RECITALS WHEREAS, the City of Sunny Isles Beach is in need of a Contractor for Re- Branding Services for the City ("Services"); and WHEREAS the City issued a Request for Proposals, RFP 19-07-02, which was titled "Citywide Re-Branding Services;" and WHEREAS, upon evaluation, Contractor was determined to have submitted the proposal which best serves the interest of and represents the best value to the City; and WHEREAS, the City desires to enter into an agreement with Contractor to provide the Services to the City for an amount of Eighty-Eight Thousand Dollars ($88,000.00) for re- branding services, as further detailed below. NOW THEREFORE, in consideration of the promises and the mutual covenants herein the parties agree as follows: TERMS 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. THE CONTRACT DOCUMENTS. The Contract Documents consist of this Agreement, as well as the terms and conditions of RFP 19-07-02, and Contractor's Proposal (hereinafter referred to as "Contract Documents"), both of which are attached hereto as Exhibit "A", together with the Scrutinized Companies Certification, which is attached hereto as Exhibit "B" and both of which are incorporated herein by reference. 3. SERVICES. Contractor shall provide the services pursuant to the terms and conditions set forth in RFP 19-07-02 and the Contractor's Proposal (Exhibit "A") including to plan and execute a re-branding campaign for the City to include research, branding, design and related services (hereinafter referred to as the "Services"). Contractor agrees to furnish all labor andmaterial in a good and workmanlike and professional manner. Contractor shall provide the . City with regular updates of its progress to ensure all Services are being performed in accordance with the terms of this Agreement. Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to the City's property, improvements and persons. Contractor will require its employees to perform their work in a manner befitting the type and scope of work to be performed. In the event that the Contractor fails to complete the Services pursuant Section 8.A. below, and City must undertake the completion of performance of Services, Contractor agrees to indemnify the City for all costs
