IWO #19-717 (JLW) Page 1 of 11 <br />CITY OF NORTH MIAMI <br />PROFESSIONAL SERVICES AGREEMENT <br />THIS PROFESSIONAL SERVICES AGREEMENT (“Agreement”) is entered into on <br />by and between the City of North Miami, a Florida municipal <br />corporation with a principal address of 776 NE 125th Street, North Miami, Florida (“City”), and <br />Ross Engineering, Inc., a Florida Profit Corporation registered to do business under the laws of <br />the State of Florida, having its principal office at 3325 S. University Drive, #111, Davie, FL 33328 <br />Contractor”). The City and Contractor shall collectively be referred to as the “Parties”, and each <br />may individually be referred to as a “Party”. <br />RECITALS <br />WHEREAS, on December 7, 2017, the City of North Miami (“City”) advertised Request for <br />Qualifications # 08-17-18, Continuing Architectural & Engineering Services (“RFQ”), for the <br />purpose of retaining a pool of experienced and qualified firms to provide professional consulting <br />services to the City on a continuing, as-needed basis (“Services”); and <br />WHEREAS, the RFQ was undertaken in accordance with Florida’s Consultants’ Competitive <br />Negotiation Act (“CCNA”), under Section 287.055, Florida Statutes; and <br />WHEREAS, in response to the RFQ, Ross Engineering, Inc. (“Contractor”) submitted its <br />qualifications for the provision Water Resources and Stormwater Design Services and was approved <br />to be included on the City’s list of pre-qualified firms pursuant to Resolution No. 2019-R-15; and <br />WHEREAS, the proposed project will assist the City in maintaining compliance with the <br />America’s Water Infrastructure Act (“AWIA”) and its requirements for community water systems <br />serving more than three thousand three hundred (3.300) persons; and <br />WHEREAS, the services will include: conducting risk and resilience assessments, preparing <br />an Emergency Response Plan that incorporates the findings of the assessments, and submitting <br />certifications for both the assessments and the plan to the Environmental Protection Agency; and <br />WHEREAS, the City Manager finds that the execution of this Agreement serves the best <br />interest of the City and is beneficial to the welfare of City residents. <br />NOW, THEREFORE, in consideration of the mutual terms and conditions set forth herein <br />and other good and valuable consideration, the Parties hereto agree as follows: <br />ARTICLE 1 - RECITALS <br />1.1 The recitals are true and correct and are hereby incorporated into and made a part of this <br />Agreement. <br />ARTICLE 2 - CONTRACT DOCUMENTS <br />2.1 The following documents are incorporated into and made a part of this Agreement <br />collectively referred to as the "Contract Documents"): <br />DocuSign Envelope ID: 3BEB8BCC-C497-487E-BB6C-C95F82A03795 <br />11/12/2019 <br />Page 62
