ARTICLE XX <br />EXHIBITS AND ATTACHMENT <br />A. All Exhibits and the Attachment to this Agreement are incorporated as if set out fully. <br />B. In the event of any inconsistencies or conflict between the language of this Agreement and the <br />Exhibits and Attachment, the language of the Exhibits and Attachment shall control, but only to the extent of <br />the conflict or inconsistency. <br />C. This Agreement has the following Exhibits and Attachment: <br />1. Attachment A — Designation of Authority <br />ARTICLE XXI <br />NON -ASSIGNMENT OF AGREEMENT <br />Neither the County nor the Municipality may assign, sublicense or otherwise transfer its rights, duties or <br />obligations under this Agreement without the prior written consent of the other party, which consent shall not <br />unreasonably be withheld. <br />ARTICLE XXII <br />LIMITATION ON RIGHTS OF OTHERS <br />The terms of this Agreement shall be binding upon, inure to the benefit of and be enforceable solely by the <br />parties and their permitted successors and assigns, and nothing in this Agreement or by virtue of the <br />transactions contemplated hereby, whether express or implied, shall be construed to constitute, create or confer <br />rights, remedies or claims in or upon any person (as third -party beneficiary or otherwise) not a party hereto, or <br />to create obligations or responsibilities of the parties to such persons, or to permit any person other than the <br />parties and their respective successors and assigns to rely upon or enforce the covenants, conditions and <br />agreements contained herein. <br />ARTICLE XXIII <br />BINDINGS ON SUCCESSORS <br />This Agreement shall bind the successors, assigns and legal representatives of the parties hereto, and of any <br />legal entity that succeeds to the obligations of the parties hereto. <br />Page 15 of 17 <br />
