Vigilant shall require all sub-contractor(s) performing services under this Agreement indemnify, defend and hold harmless Affiliate to the extent caused by, or alleged to have been caused by, the negligence, revklessness or wrongful misconduct of the subcontractor and/or persons employed or utilized by subcontractor in the performance of any services under this Agreement. V igilant Shall, at its sole cost and expense, during the period of any services being performed under this Agreement, procure and maintain the following minimum insurance coverages to protect Affiliatc and Vigilant against all loss, claims, damage and liabilities caused by Vigilant, its agents, contractors or employees, as more particularly set forth below: (a) Commercial General liability insurance with limits of One Million Dollars ($1,DOO,000) combined single limit occurrence.
