DocuSign Envelope ID: 4ECDOD5A-A042-452F-B535-34A2D62E2993 Department of MANAGE11 SERVICES D We serve those who serve Florida AMENDMENT 4 To State Term Contract 973-163-10-1 Fuel Card Services This Amendment 4 ("Amendment"), effective as of February 6, 2021, to the Fuel Card Services Contract, Contract No. 973-163-10-1 ("Contract"), is made by and between the State of Florida, Department of Management Services ("Department"), and WEX Bank ("Contractor'). The Department and Contractor are collectively referred to herein as the "Parties." WHEREAS, the Contract was entered into by the Parties on August 6, 2010, for an initial term of five years, through August 5, 2015; and WHEREAS, the Contract was subsequently renewed August 5, 2015, for a period of five years and WHEREAS, the Contract was subsequently extended August 6, 2020, for a period of six months and is now set to expire on February 5, 2021; and WHEREAS, the Parties wish to extend the Contract for an additional sixty (60) days as permitted by section 287.057(12), Florida Statutes. NOW THEREFORE, for the mutual covenants contained herein, and pursuant to Contract section 42, "Modification of Terms," General Contract Conditions, PUR 1000, part 6, the Parties agree to amend the Contract as follows: 1.0 Contract Extension. The Contract is extended for a period of sixty (60) days, effective February 6, 2021, through April 6, 2021. 2.0 Conflict. To the extent any of the terms of this Amendment conflict with the terms of the Contract, the terms of this Amendment shall control. 3.0 Warrant of Authority. Each person signing this Amendment warrants that he or she is duly authorized to do so and to bind the respective party. 4.0 Effect. Unless otherwise modified by this Amendment, all terms and conditions contained in the Contract, as previously amended, shall continue in full force and effect. Page 1 of 2
