City of Sunny Isles Beach | Invitation to Bid No. 21-03-02 10 SECTION 2 SPECIAL TERMS AND CONDITIONS 2.1 PURPOSE OF BID: The City of Sunny Isles Beach (the “City’) is seeking bids from qualified bidders to provide Motor Coach Transportation Services on an as-needed basis for various City activities. Services shall be provided in accordance with the terms, conditions, and specifications contained in this ITB. 2.2 PRE-BID CONFERENCE: A Pre-Bid Conference will not be held for this ITB. 2.3 TERM This initial contract shall commence upon approval by the City Commission, contingent upon the completion and submittal of all required bid documents and fully executed contract. The initial contract shall remain in effect for two (2) years with an option to renew for three (3) additional one-year (1) renewal terms. This contract shall remain in effect until the completion of services, provided that the services rendered by Firm during the contract period are satisfactory and that City funding is available as appropriated on an annual basis. However, in the event funding is not appropriated on an annual basis during any particular year within the contract period, the contract may be canceled upon thirty (30) days written notice to Firm. In such an event, the City shall only be responsible for the reasonable value of services performed prior to the effective date of termination. 2.4 OPTIONS TO RENEW The initial contract prices resultant from this solicitation shall prevail for a two (2) year period from the contract’s initial effective date. Prior to, or upon completion, of that initial term, the City shall have the option to renew this contract for an additional three (3) one-year (1) periods on a year-to-year basis. Prior to completion of each exercised contract term, the City may consider an adjustment to price based on changes in the following pricing index: Consumer Price Index (CPI), All Urban Consumers, All Items, Miami-Ft. Lauderdale area, in an amount not to exceed 3%. It is the vendor’s responsibility to request any pricing adjustment under this provision. For any adjustment to commence on the first day of any exercised option period, the vendor’s request for adjustment should be submitted in writing at least 90 days prior to the expiration of the then current contract term. The vendor adjustment request should not be in excess of the relevant pricing index change. If no adjustment request is received from the vendor, the City will assume that the vendor has agreed that the optional term may be exercised without pricing adjustment. Any adjustment request received after the commencement of a new option period may not be considered.
