Seasonal Experiential Activation RFP No. 21-06-01 Winterland VILLAGES 3.3 LEGAL DISCLAIMER This confidential offering memorandum (“Memorandum”) has been prepared by Azur Group solely for your limited use in determining whether to conduct due diligence in anticipation of entering into a contract to rent out Gateway Park located at 151 Sunny Isles Blvd, Sunny Isles Beach, FL 33160 (the “Property”), and subsequently develop a winterland village (the “Project”) between the dates of November 2021 to March 2022. The Memorandum does not purport to provide a necessarily accurate summary of the Property or any of the documents related thereto, nor does it purport to be all inclusive or to contain all of the information, which prospective investors may need or desire. All financial projections are based on assumptions relating to the general economy, competition, and other factors beyond the control of the City; and therefore, are subject to material variation. This Memorandum does not constitute an indication that there has been no change in the business or affairs of the Property or City since the date of preparation of this Memorandum. Additional information and an opportunity to inspect the Property will be made available to interested and qualified Proposer. Neither Azur Group, the City nor any of their respective officers, agents, or principals, has made or will make any representations or warranties, expressed or implied, as to the accuracy or completeness of this Memorandum or its contents. Analysis and verification of the information contained in the Memorandum is solely the responsibility of the prospective City. The City expressly reserves the right, at its sole discretion, to reject any or all expressions of interest or offers related to the Project and/or terminate discussions with any entity at any time with or without notice. This Memorandum and its contents, except such information which is a matter of public record or is provided in sources available to the public (such contents as so limited herein called the “Contents”), are of a confidential nature. By accepting this Memorandum, you acknowledge that unauthorized use and/or accidental or willful release of information contained herein shall cause irreparable damage to the City or Azur Group, which cannot be calculated at this time. You agree to hold and treat the Memorandum in the strictest confidence, that you will not photocopy or duplicate it and will not disclose the Memorandum or any of its contents to any other entity except for outside advisors retained by you if necessary, to assist in your determination of whether or not to make a proposal. Any such advisors agree to be bound by the terms of this confidentiality agreement without prior written authorization of the City or Azur Group, and that you will not use the Memorandum or any of its contents in any fashion or manner detrimental to the interest of the City or Azur Group.
