S,t3NY rF OSBP x AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND UNIVERSAL PROTECTION SERVICE, LLC D/B/A ALLIED UNIVERSAL SECURITY SERVICES CONTRACT NO. 2021-7700 THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this _ day of , 2021, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and UNIVERSAL PROTECTION SERVICE, LLC D/B/A ALLIED UNIVERSAL SECURITY SERVICES, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor") whose Federal I.D. # is 56-0515447. RECITALS WHEREAS, the City is in need of Contractor to provide an unarmed level 2 security officer 24 hours a day, 7 days a week, 365 days a year (inclusive of holidays) for the purpose of providing security coverage for the Government Center lobby ("Services"); and WHEREAS, Contractor is a certified and insured company with the necessary experience to provide the desired Services; and WHEREAS, Miami -Dade County issued Request for Proposals ("RFP") 00188 "Security Guard Services for Miami -Dade Water & Sewer Department" and awarded an agreement to Contractor beginning September 1, 2017, for a period of 36 months, terminating on August 31, 2020, with the option to renew for two (2) additional three (3) year terms, with the ability to extend said contract beyond the renewal terms for 180 calendar day extension periods by mutual agreement; and WHEREAS, Miami -Dade County and the Contractor exercised the first renewal term; and WHEREAS, the City desires to enter into an agreement with Contractor, using Miami - Dade County's solicitation information, Contractor's response, and the resulting contract to provide the Services described in Exhibit "A", and more particularly, Contractor's price proposal as set forth in Exhibit "B", attached hereto and made part hereof, subject to the terms and conditions contained herein; and WHEREAS, pursuant to the City's procurement code provisions, purchases made under state, county or other governmental contracts, or competitive bids with other entities are exempt from the City's competitive bidding procedures; and WHEREAS, the City wishes to contract with Contractor to provide the desired Services as more particularly described in Exhibit "A" for a total amount not to exceed Four Thousand Five Hundred Dollars and 72/100 Cents ($4,500.72) per week, for a total compensation amount of Four Hundred Sixty -Eight Thousand Seventy -Four Dollars and 88/100 Cents ($468,074.88) for the initial two (2) year term. An additional contingency in the amount of Fifty -Five Thousand Four Hundred Fifty - Seven Dollars and 28/100 ($55,457.28) is also established for possible Additional Services that may be requested by the City, on an as needed basis, thereby bringing the total contract amount not to exceed Five Hundred Twenty -Three Thousand Five Hundred Thirty -Two Dollars and 16/100 Cents ($523,532.16).
