of the City of Parkland. Therefore, the Vendor shall assume all legal and financial <br />responsibility for taxes, FICA, employee fringe benefits, worker's compensation, <br />employee insurance, minimum wage requirements, overtime, and other <br />expenses, and agrees to indemnify, save, and hold the City of Parkland, its officers, <br />agents, and employees, harmless from and against, any and all loss; cost (including <br />attorney fees); and damage of any kind related to such matters. <br />2.14. NON -CONTINGENT FEE: <br />Vendor warrants that it has not employed or retained any company or person, other than <br />a bona fide employee working solely for the Vendor to solicit or secure the Contract and <br />that it has not paid or agreed to pay any person, company, corporation, individual orfirm, <br />other than a bona fide employee working solely for the Vendor, any fee, commission, <br />percentage, gift, or other consideration contingent upon or resulting from the award or <br />making the Contract. For the breach or violation of this provision, the City shall have the <br />right to terminate the Contract without liability at its discretion. <br />2.15. PUBLIC RECORDS/CONFIDENTIAL INFORMATION: <br />Florida law provides that municipal records shall at all times be open for personal <br />inspection by any person, unless otherwise exempt. Information and materials received <br />by the City in connection with a Vendor's response shall be deemed to be public records <br />subject to public inspection. However, certain exemptions to the public records law are <br />statutorily provided for in Section 119.07, F.S. Section 119.07, F.S. provides an exemption <br />from public records law for sealed bids, solicitations, or replies received by an agency <br />pursuant to a competitive solicitation until such time as the agency provides notice of an <br />intended decision or until thirty (30) days after opening the solicitation or final replies, <br />whichever is earlier. <br />THE CONTRACTOR SHALL COMPLY WITH THE REQUIREMENTS OF CHAPTER <br />119, FLORIDA STATUTES WITH RESPECT TO ALL PUBLIC RECORDS. <br />IF THE CONTRACTOR HAS QUESTIONS REGARDING THE APPLICATION OF <br />CHAPTER 119, FLORIDA STATUTES, TO THE CONTRACTOR'S DUTY TO <br />PROVIDE PUBLIC RECORDS RELATING TO THIS CONTRACT, CONTACT THE <br />CUSTODIAN OF PUBLIC RECORDS AT: <br />CITY CLERK <br />6600 University Drive <br />Parkland, FL 33067 <br />(954) 757-4132 <br />Cityclerk@Cityofparkland.org <br />SPECIFICALLY, THE CONTRACTOR SHALL: <br />1.
