PAYMENT AND FEES. <br />3.1 Pricing. <br />The Contractor will not exceed the pricing set forth in the Contract documents. <br />3.2 Price Decreases. <br />The following price decrease terms will apply to the Contract: <br />3.2.1 Quantity Discounts. Contractor may offer additional discounts for one-time delivery of <br />large single orders; <br />3.2.2 Preferred Pricing. The Contractor guarantees that the pricing indicated in this <br />Contract is a maximum price. Additionally, Contractor's pricing will not exceed the pricing <br />offered under comparable contracts. Comparable contracts are those that are similar in <br />size, scope, and terms. In compliance with section 216.0113, F.S., Contractor must <br />annually submit an affidavit from the Contractor's authorized representative attesting that <br />the Contract complies with this clause. <br />Clarification: Grainger accepts the terms in this section as written and will annually submit <br />an affidavit attesting to the fact that we guarantee that the pricing indicated in this Contract <br />is a maximum price and that Grainger's pricing will not exceed the contract pricing offered <br />under comparable contracts. Comparable contracts as defined by this Statute are those <br />that are similar in size, scope, and terms. Given the vagueness of this definition and wide <br />variety of Grainger commercial and government customers that arguably are or are not <br />similar in size, scope and terms, we request that the focus of our attestation in compliance <br />with section 216.0113, F.S., be focused on NASPO affiliated States and that reference to <br />pricing parity be defined as NASPO contract published pricing. <br />3.2.3 Sales Promotions. In addition to decreasing prices for the balance of the Contract <br />term due to a change in market conditions, the Contractor may conduct sales promotions <br />involving price reductions for a specified lesser period. The Contractor must submit <br />documentation identifying the proposed: (1) starting and ending dates of the promotion, (2) <br />commodities or contractual services involved, and (3) promotional prices compared to <br />then -authorized prices. <br />3.3 Payment Invoicing. <br />The Contractor will be paid upon submission of invoices to the Customer after delivery and <br />acceptance of commodities or contractual services is confirmed by the Customer. Invoices <br />must contain sufficient detail for an audit and contain the Contract Number and the <br />Contractor's Federal Employer Identification Number. <br />3.4 Purchase Order. <br />A Customer may use purchase orders to buy commodities or contractual services pursuant <br />to the Contract and, if applicable, the Contractor must provide commodities or contractual <br />services pursuant to purchase orders. Purchase orders issued pursuant to the Contract <br />must be received by the Contractor no later than the close of business on the last day of <br />the Contract's term. The Contractor is required to accept timely purchase orders specifying <br />delivery schedules that extend beyond the Contract term even when such extended <br />delivery will occur after expiration of the Contract. Purchase orders shall be valid through <br />their specified term and performance by the Contractor, and all terms and conditions of the <br />Contract shall survive the termination or expiration of the Contract and apply to the <br />Contractor's performance. The duration of purchase orders for recurring deliverables shall <br />not exceed the expiration of the Contract by more than twelve months. Any purchase order <br />terms and conditions conflicting with these Special Contract Conditions shall not become a <br />part of the Contract. <br />SP approved version 7-1-2019 3 <br />269 <br />
