D/B/A KEITH, a for-profit corporation authorized to do business in <br />the State of Florida ("Consultant"), whose Federal I.D. No. is 65-0804421. <br />WHEREAS, City and Consultant entered into a Project Agreement ("Project <br />Agreement"), dated May 24, 2022, a copy of which is attached hereto as Attachment "A;" and <br />WHEREAS, City and Contractor desire to enter into this Second Amendment for purposes <br />of modifying certain terms and conditions of the Project Agreement; <br />NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, <br />representations, and warranties, and other good and valuable consideration, the receipt and <br />sufficiency of which is hereby acknowledged, the Project Agreement is amended to provide as <br />follows: <br />RECITALS. The Recitals set forth above are hereby incorporated into this Second <br />Amendment and made a part hereof for reference. <br />2. AMENDMENT. <br />A. SECTION 2, CONSULTANT'S BASIC DUTIES TO CITY <br />1. Section 2.1 and EXHIBIT 1 attached to the Project Agreement, are hereby <br />modified and supplemented to provide for the additional scope of services attached <br />hereto as Attachment B. <br />2. Section 2.7.1 is, hereby modified to provide the additional scheduling attached <br />hereto as Attachment B. <br />3. Section 2.9, entitled CONSTRUCTION ADMINISTRATION, is added to provide <br />as follows: <br />2.9 CONSTRUCTION ADMINISTRATION <br />2.9.1 The Consultant shall perform those duties and discharge those <br />responsibilities set forth herein in Sections 2.9.2 through 2.9.13. <br />Furthermore, the Consultant shall perform and be responsible for all <br />services requested of the Consultant by the City relating to the <br />interpretation and implementation of the Consultant's drawings, <br />specifications, or other Construction Documents or other contract <br />documents prepared by the Consultant. <br />2.9.2 The Consultant shall represent the City during construction and shall <br />facilitate all instructions and other appropriate communications <br />
