“WIFIA” has the meaning provided in the recitals hereto. <br />“WIFIA Bond” means the Bond delivered by the Borrower in substantially the form of <br />Exhibit A (Form of WIFIA Bond). <br />“WIFIA Debt Service” means with respect to any Payment Date occurring on or after the <br />Debt Service Payment Commencement Date, the principal portion of the Outstanding WIFIA Loan <br />Balance and any interest payable thereon (including interest accruing after the date of any filing <br />by the Borrower of any petition in bankruptcy or the commencement of any bankruptcy, <br />insolvency or similar proceeding with respect to the Borrower), in each case, (a) as set forth on <br />Exhibit F (WIFIA Debt Service) and (b) due and payable on such Payment Date in accordance <br />with the provisions of Section 8(a) (Payment of Principal and Interest – Payment of WIFIA Debt <br />Service). <br />“WIFIA Debt Service Account” means the account established for the benefit of the <br />WIFIA Lender in accordance with the terms of the WIFIA Supplemental Resolution and Section <br />7(e) (Security and Priority; Flow of Funds). <br />“WIFIA Interest Rate” has the meaning provided in Section 6 (Interest Rate). <br />“WIFIA Lender” has the meaning provided in the preamble hereto. <br />“WIFIA Lender’s Authorized Representative” means the Administrator and any other <br />Person who shall be designated as such pursuant to Section 22 (WIFIA Lender’s Authorized <br />Representative). <br />“WIFIA Loan” means the secured loan made by the WIFIA Lender to the Borrower on <br />the terms and conditions set forth herein, pursuant to the Act, in a principal amount not to exceed <br />$44,204,486, to be used in respect of Eligible Project Costs paid or incurred by the Borrower. <br />“WIFIA Loan Documents” means this Agreement, the WIFIA Bond, the WIFIA <br />Supplemental Resolution, the Master Resolution and all other Bond Authorization Documents <br />relating to the WIFIA Loan. <br />“WIFIA Supplemental Resolution” means that certain Supplemental Resolution adopted <br />by the City Commission on June 16, 2020. <br />Section 2.Interpretation. <br />(a) Unless the context shall otherwise require, the words “hereto,” “herein,” “hereof” <br />and other words of similar import refer to this Agreement as a whole. <br />(b) Words of the masculine gender shall be deemed and construed to include <br />correlative words of the feminine and neuter genders and vice versa. <br />(c) Words importing the singular number shall include the plural number and vice <br />versa unless the context shall otherwise require. <br />16 <br /> <br />
