CONTRACTOR prior to the effective date of said termination. In no event shall CITY be <br />responsible for lost profits of CONTRACTOR or any asserted damages which may arise out of <br />an alleged premature termination of this Agreement. CONTRACTOR acknowledges that the <br />thirty (30) day notice provision set forth in this Section 5 shall be deemed adequate additional <br />consideration supporting this termination for convenience clause. <br />6. Termination Required by In the event that State legislation or a decision by a <br />court of competent jurisdiction prohibits deployment of the traffic control signal monitoring <br />system that is the subject of this Agreement, either party may terminate this Agreement. <br />7. Post Termination Services: Upon termination of this Agreement because it has <br />reached the end of its term, or because required by law pursuant to Section 6, above, or for any <br />other reason, the parties recognize that CITY will be required to process traffic law violations in <br />the "pipeline" and that CONTRACTOR accordingly must assist CITY in this regard. <br />Accordingly, the parties shall take the following actions, and shall have the following <br />obligations, which survive termination: CITY shall cease using the camera system, shall return <br />or allow CONTRACTOR to recover all provided equipment within a reasonable time not to <br />exceed ninety (90) days, and shall not generate further images to be processed. CONTRACTOR <br />shall provide CITY with all revenues owed to CITY accruing prior to the date of termination and <br />CONTRACTOR shall be entitled to its fees pursuant to this Agreement, from said accrued <br />revenues provided to CITY. <br />8. Assignment: CONTRACTOR shall not assign, sell, or transfer any interest in this <br />Agreement. <br />9.
