DocuSign Envelope ID: 98F47575-4535-4A85-8322-8D8C97C4397C <br />THIRD EXTENSION OF AGREEMENT FOR RED LIGHT <br />CAMERA ENFORCEMENT SERVICES <br />THIS THIRD EXTENSION OF AGREEMENT FOR RED LIGHT CAMERA <br />ENFORCEMENT SERVICES, made and entered into on _17 July 2023 by and <br />between the CITY OF SARASOTA, FLORIDA, a municipal corporation, hereinafter referred to <br />as "CITY," and REDSPEED FLORIDA LLC, a Florida limited liability company, hereinafter <br />referred to as "CONTRACTOR". <br />WITNESSETH: <br />WHEREAS, CITY and CONTRACTOR entered into an Agreement for Red Light Camera <br />Enforcement Services dated January 25, 2018, as well as a First Extension thereof dated April 29, <br />2021 and a Second Extension thereof dated February 26, 2022, hereinafter collectively referred to <br />as the Agreement, by which CONTRACTOR provides for the implementation, administration and <br />servicing of an automated red light camera enforcement system for CITY pursuant to RFP #17- <br />29DD; and <br />WHEREAS, the Agreement, by its terms, is set to expire on April 30, 2023; and <br />WHEREAS, CITY and CONTRACTOR desire to enter into this Third Extension so as to <br />extend the term of the Agreement for the third of up to three additional one-year periods. <br />NOW, THEREFORE, IN CONSIDERATION OF THE FOREGOING AND THE <br />MUTUAL COVENANTS CONTAINED HEREIN, IT IS AGREED AS FOLLOWS: <br />Section 4, Term, of the Agreement is hereby modified so as to extend the term <br />thereof for the third of up to three (3) additional one-year periods. As modified, said Section 4 <br />will provide as follows: <br />4. Term: The term of this Agreement commenced on March 1, 2018, <br />and the Project Scope of Services commenced on May 1, 2018. This Third <br />Extension will become effective on May 1, 2023 and will expire at 11:59 p.m. on <br />April 30, 2024. This Agreement cannot be extended. This Third Extension will <br />relate back to, and become effective as of, May 1, 2023 without regard to the date <br />of execution. <br />2. Except as expressly set forth herein, all of the terms, covenants and conditions of <br />the Agreement are hereby ratified and confirmed by CITY and CONTRACTOR and each, by the <br />
