Contract Clauses for Solicitation 47QSMD20R0001 Refresh Number 19 Contract Number: GS -07F -0031W <br />52.203-6 RESTRICTIONS ON SUBCONTRACTOR SALES TO THE <br />GOVERNMENT (JUN 2020) (ALTERNATE I-NOV 2021) <br />(a) Except as provided in (b) below, the Contractor shall not enter into any <br />agreement with an actual or prospective subcontractor, nor otherwise act in any <br />manner, which has or may have the effect of restricting sales by such <br />subcontractors directly to the Government of any item or process (including <br />computer software) made or furnished by the subcontractor under this contract or <br />under any follow-on production contract. <br />(b) The prohibition in paragraph (a) of this clause does not preclude the <br />Contractor from asserting rights that are otherwise authorized by law or <br />regulation. For acquisitions of commercial products or commercial services). the <br />prohibition in paragraph (a) applies only to the extent that any agreement <br />restricting sales by subcontractors results in the Federal Government being treated <br />differently from any other prospective purchaser for the sale of the commercial <br />product(s) and commercial service(s). <br />(c) The Contractor agrees to incorporate the substance of this clause, including <br />this paragraph (c), in all subcontracts under this contract which exceed the <br />simplified acquisition threshold, as defined in Federal Acquisition Regulation <br />2.101 on the date of subcontract award. <br />52.222-50 COMBATING TRAFFICKING IN PERSONS (NOV 2021) <br />(a) Definitions. As used in this clause - <br />Agent means any individual, including a director, an officer, an employee, or an independent contractor, <br />authorized to act on behalf of the organization. <br />Coercion means - <br />(1) Threats of serious harm to or physical restraint against any person; <br />(2) Any scheme, plan, or pattern intended to cause a person to believe that failure to perform an <br />act would result in serious harm to or physical restraint against any person; or <br />(3) The abuse or threatened abuse of the legal process. <br />Commercially available off-the-shelf (COTS) item - <br />(1) Means any item of supply (including construction material) that is - <br />(i) A commercial product (as defined in paragraph (1) of the definition of "commercial <br />product" at Federal Acquisition Regulation (FAR) 2.101); <br />(ii) Sold in substantial quantities in the commercial marketplace; and <br />(iii) Offered to the Government, under a contract or subcontract at any tier, without <br />modification, in the same form in which it is sold in the commercial marketplace; and <br />(2) Does not include bulk cargo, as defined in 46 U.S.C. 40102(4), such as agricultural products <br />and petroleum products. <br />Page: 123 of 216 <br />210 <br />
