Contract Clauses for Solicitation 47QSMD20R0001 Refresh Number 19 Contract Number: GS -07F -0031W <br />I -FSS -106 GUARANTEED MINIMUM (DEC 2022) <br />(a) The guaranteed minimum that the Government agrees to order during the period of this contract is <br />$2,500. If the Contractor receives total orders for less than $2,500 during the term of the contract, the <br />Government will pay the difference between the amount ordered and $2,500. <br />(b) Payment of any amount due under this clause shall be contingent upon the Contractor's timely <br />submission of reportable sales and fees and receipt of the close-out sales report pursuant to GSAR <br />clause 552.238-80, Industrial Funding Fee and Sales Reporting. <br />(c) The guaranteed minimum applies only if the contract expires or contract cancellation is initiated by <br />the Government. The guaranteed minimum does not apply if the contract is terminated for cause or if <br />the contract is canceled at the request of the Contractor. <br />52.232-40 PROVIDING ACCELERATED PAYMENTS TO <br />SMALL BUSINESS SUBCONTRACTORS (MAR 2023) <br />(a) <br />(1) In accordance with 31 U.S.C. 3903 and 10 U.S.C. 3801, within 15 days after receipt <br />of <br />accelerated payments from the Government, the Contractor shall make <br />accelerated payments to its small business subcontractors under this contract, to <br />the maximum extent practicable and prior to when such payment is otherwise <br />required under the applicable contract or subcontract, after receipt of a proper <br />invoice and all other required documentation from the small business <br />subcontractor. <br />(2) The Contractor agrees to make such payments to its small business subcontractors <br />without any <br />further consideration from or fees charged to the subcontractor. <br />(b) The acceleration of payments under this clause does not provide any new rights under <br />the <br />Prompt Payment Act. <br />(c) Include the substance of this clause, including this paragraph (c), in all subcontracts <br />with small <br />business concerns, including subcontracts with small business concerns for the <br />acquisition of <br />commercial products or commercial services. <br />(End of clause) <br />52.204-27 PROHIBTION ON A BYTEDANCE COVERED APPLICATION (JUN <br />2023) <br />(a) Definitions. As used in this clause— <br />Covered application means the social networking service TikTok or any successor <br />application or <br />service developed or provided by ByteDance Limited or an entity owned by ByteDance <br />Limited. <br />Information technology, as defined in 40 U.S.C. 11101(6)— <br />(1) Means any equipment or interconnected system or subsystem of equipment, <br />used in the <br />automatic acquisition, storage, analysis, evaluation, manipulation, management, <br />movement, control, display, switching, interchange, transmission, or reception of <br />data or information by the executive agency, if the equipment is used by the <br />executive agency directly or is used by a contractor under a contract with the <br />executive agency that requires the use— <br />Page: 157 of 216 <br />244 <br />
