Time is of the essence as to the performance of all terms <br />and conditions under this Lease. <br />12.4 LESSOR'S Cumulative Rights. LESSOR's rights under the Lease are <br />cumulative, and, LESSOR'S failure to promptly exercise any rights given under this Lease shall <br />not operate of forfeit any of these rights. <br />12.5 Modifications, Releases and Discharges. No modification, release, discharge or <br />waiver of any provision of this Lease will be of any effect unless it is in writing and signed by the <br />LESSOR and LESSEE. <br />12.6 Time. In computing any period of time expressed in day(s) in this Lease, the day <br />of the act, event, or default from which the designated period of time begins to run shall not be <br />included. The last day of the period so computed shall be included unless it is a Saturday, Sunday, <br />or legal holiday, in which event the period shall run until the end of the next day which is neither <br />a Saturday, Sunday or legal holiday. When the period of time prescribed or allowed is less than <br />seven (7) days, intermediate Saturdays, Sundays, and legal holidays shall be excluded in the <br />computation. <br />12.7 Captions. The captions, headings and title of this Lease are solely for convenience <br />of reference and are not to affect its interpretation. <br />12.8 Survival. All obligations of LESSEE hereunder not fully performed as of the <br />expiration or earlier termination of the Term of this Lease shall survive the expiration or earlier <br />termination of the Term hereof. <br />12.9 LESSOR Delays; Causes beyond Control of LESSOR. Whenever a period of <br />time is herein prescribed for action to be taken by LESSOR, LESSOR shall not be liable or <br />responsible for, and there shall be excluded from the computation for any such period of time, any <br />delays due to causes of any kind whatsoever which are beyond the control of LESSOR. <br />12.10 Pledge or Security Interest. In connection with any financing of the <br />improvements, LESSEE shall not voluntarily pledge, grant a security interest, or any interest <br />therein without the prior written consent of LESSOR, which such consent shall not be <br />unreasonably withheld, denied, or delayed.
