Approach / Methodology <br />TD Bank's robust enterprise-wide BCM program includes formal crisis management <br />protocols and continuity strategies that accommodate both short-term and long-term <br />recovery initiatives. We regularly maintain and exercise business continuity and <br />disaster recovery plans to address the loss or failure of any component on which <br />critical functions depend. <br />Upon notification from the City of a disaster, TD Bank and your Relationship <br />Management Team would assess your needs and provide support services as <br />applicable. We have a history of going above and beyond normally expected service <br />lengths to provide for our clients. <br />Z.Audit and Inspection of Records <br />1.The bank shall permit the authorized representativesof the City to inspect and audit <br />all data and records of the bank, if any, relating to the performance under the <br />contract. Such data and records shall be preserved by the bank as required by <br />applicable regulatory bodies. <br />2.In addition, the City will be provided with information in order to access electronic <br />quarterly and annual financial reports which indicate the financial soundness of the <br />institution. <br />TD’s financial and accounting records are maintained in accordance with GAAP. <br />Other bank records are maintained in accordance with industry standard banking <br />practices and applicable law. Review and audit of bank records may be made <br />available subject to bank policy and to various confidentiality, privacy, security, and <br />other banking laws and regulations that may otherwise restrict or prohibit access <br />to TD’s financial and banking records by third parties. <br />AA. Transition Plan <br />Proposer shall describe their conversion plan to transfer assets of the City to their bank. <br />Include information regarding lead time necessary before the contracts can be implemented <br />and include plan details for educating and training City employees in the use of the bank’s <br />systems. Proposer shall provide a timeline schedule for full implementation, of which, should <br />be at no cost to the City. <br />TD Bank has the privilege of being the incumbent service provider for the Jacksonville <br />Aviation Authority. This represents business as usual to the City without any disruption <br />to your daily banking needs. In the event the City wishes to add additional treasury <br />management services, your Relationship Management Team will work closely with <br />you to ensure a smooth and seamless implementation as well as delivering our <br />promise of legendary customer service. <br />Proposed by: TD Bank, N.A.Page 43 <br /> <br />
