EpdvTjho!Fowfmpqf!JE;!2193E418.88DB.5943.:22G.914D7G:28845EpdvTjho!Fowfmpqf!JE;!ED64EEGG.2G1:.5:C6.C4CB.73549671:658 <br />EXHIBIT C <br /> <br />CONFIDENTIALITY AGREEMENT <br /> <br />WHEREAS, Gregory Tony, as Sheriff of Broward County Florida ("SHERIFF") has <br />entered into an Agreement with MBR Construction, Inc., (hereinafter referred to as <br />"CONTRACTOR",) wherein CONTRACTOR will be performing certain work and services for <br />SHERIFF, specifically described in the Agreement. <br /> <br />WHEREAS, CONTRACTOR has assigned _____________________ <br />to perform such work on behalf of CONTRACTOR; <br /> <br />WHEREAS, when performing such work and providing such services <br />Agent will have access to SHERIFF data, information, memorandum, documents and ideas. <br /> <br />NOW THEREFORE, in consideration of SHERIFF'S using CONTRACTOR to perform <br />services and for other good and valuable consideration agrees as follows: <br /> <br />I. Acknowledgment of Confidentiality. hereby acknowledges that <br />he/she may be exposed to confidential and proprietary information of other vendors and providers <br />of services of SHERIFF including, without limitation, business practices, building plans, building <br />blue prints, security system information, physical security process, software and technical <br />information (including functional and technical specifications, designs, drawings, analysis, <br />research, processes, computer programs, methods, ideas, "know how" and the like), and other <br />information designated as confidential ("Confidential Information"). Confidential Information <br />does not include (i) information in the public domain through no wrongful act of CONTRACTOR <br />or (ii) information received by CONTRACTOR from a third party who was free to disclose it. <br /> <br />II. Covenant Not to Disclose. With respect to the Confidential Information, <br />Agent hereby agrees that during the term of rendering services or performing work and at all times <br />thereafter he/she shall not use, commercialize or disclose such Confidential Information to any <br />person or entity, except to such other parties as SHERIFF may approve in writing and under such <br />conditions as SHERIFF may impose. <br /> <br />IN WITNESS WHEREOF, the parties hereto have made and executed this Agreement on the <br />respective dates under each signature.
