EXECUTION COPY <br />AT (305) 792-1703, CityClerk&sibfl.net, 18070 Collins Avenue, 4th Floor, Sunny Isles Beach, Florida <br />33160. <br />LESSEE shall comply with the specific requirements of public records laws: <br />A. Keep and maintain public records required by the LESSOR to perform the service. <br />B. Upon request from LESSOR's custodian of public records, provide LESSOR with a <br />copy of the requested records or allow the records to be inspected or copied within a <br />reasonable time at a cost that does not exceed the cost provided in this chapter or as <br />otherwise provided by law. <br />C. Ensure that public records that are exempt or confidential and exempt from public <br />records disclosure requirements are not disclosed except as authorized by law for the <br />duration of the contract term and following completion of the contract if the LESSEE <br />does not transfer the records to LESSOR. <br />D. Upon completion of the Lease, transfer, at no cost, to LESSOR all public records in <br />possession of the LESSEE or keep and maintain public records required by LESSOR <br />to perform the service. If the LESSEE transfers all public records to LESSOR upon <br />completion of the Lease, the LESSEE shall destroy any duplicate public records that <br />are exempt or confidential and exempt from public records disclosure requirements. <br />If the LESSEE keeps and maintains public records upon completion of the Lease, the <br />LESSEE shall meet all applicable requirements for retaining public records. All <br />records stored electronically must be provided to LESSOR, upon request from <br />LESSOR's custodian of public records, in a format that is compatible with the <br />information technology systems of LESSOR. <br />43. AMENDMENTS IN WRITING. This Lease and the Exhibits attached hereto and <br />forming a part hereof set forth all the covenants, promises, agreements, conditions, and understandings <br />between LESSOR and LESSEE concerning the Leased Premises, and there are no covenants, promises, <br />agreements, conditions, or understandings, oral or written, between them other than are herein set forth. <br />Except as herein otherwise provided, no subsequent alteration, amendment, change, or addition to this <br />Lease shall be binding upon LESSOR and LESSEE unless reduced to writing and signed by both parties. <br />44. NO THIRD PARTY BENEFICIARIES. The parties expressly acknowledge that it is <br />not their intent to create or confer any rights or obligations in or upon any third person or entity under <br />this Lease. None of the parties intend to directly or substantially benefit a third party by this Lease. The <br />parties agree that there are no third -party beneficiaries to this Lease and that no third parry shall be <br />entitled to assert a claim against any of the parties based on this Lease. Nothing herein shall be construed <br />as consent by any agency or political subdivision of the State of Florida to be sued by third parties in <br />any manner arising out of any contract. <br />45. RELATIONSHIP OF THE PARTIES. Nothing in this Lease shall create a partnership, <br />joint venture, employment relationship, borrower and lender relationship, or any other relationship <br />between LESSOR and LESSEE, other than the relationship of landlord and tenant. <br />46. NON-DISCRIMINATION. LESSEE shall not discriminate against any person in the <br />LEASE AGREEMENT - CREMA DOWNTOWN CORP. Page 29 of 36 <br />
