or hereafter provided by the laws of the State of Florida, the United States or any other state or <br />country. <br />11. Financial Statements, Estoppel Certificates - Guarantor shall from time to time, <br />within thirty (30) days after written request from Landlord, make available to Landlord and any <br />prospective purchaser or lender of Landlord, audited financial statements for the two most recently <br />completed fiscal years of Guarantor (or if Guarantor's financial statements are not audited, copies <br />of such financial statements certified as being true and correct by or on behalf of Guarantor). <br />Guarantor further agrees upon ten (10) days written notice from Landlord to provide Landlord and <br />any prospective purchaser or lender dealing with Landlord, a statement certifying that this <br />Guaranty is unmodified and in full force and effect (or if there have been modifications, that the <br />same is in full force and effect as modified stating such modification) and such further information <br />as such prospective purchaser or lender may reasonably request. Guarantor agrees that any such <br />certificate may be relied upon by anyone purchasing the property that is the subject of the Lease <br />or making any loan secured by such property. <br />12. Representations - Guarantor hereby represents and warrants that to the best of <br />Guarantor's knowledge: <br />(a) Guarantor is not in default under any agreement to which Guarantor is a <br />party, the effect of which will impair performance by Guarantor of the Obligations; <br />(b) There are no actions, suits or proceedings pending or threatened against <br />Guarantor before any court or any governmental, administrative, regulatory, adjudicatory or <br />arbitrational body or agency of any kind that will affect performance by Guarantor of the <br />Obligations; <br />(c) Neither this Guaranty nor any document, financial statement, credit <br />information, certificate or statement heretofore furnished or required herein to be furnished to <br />Landlord by Guarantor contains any untrue statement of facts or omits to state a fact material to <br />this Guaranty as of the date of this Guaranty; and <br />(d) If Guarantor is not an individual, the execution and delivery of this Guaranty <br />has been authorized by all necessary corporate, partnership or other action and the party executing <br />this Guaranty on behalf of Guarantor has the authority to bind Guarantor. <br />13. Notices - Any notice, demand or document required or permitted to be delivered <br />by this Guaranty or the Lease shall be deemed to be delivered (whether or not actually received) <br />when delivered personally or when delivered by a generally recognized courier service (e.g_, <br />Federal Express, UPS or DHL), at the address set forth below Guarantor's signature or any other <br />address notice of which is provided by Guarantor to Landlord. <br />14. Miscellaneous - The invalidity or unenforceability in any particular circumstances <br />of any provision of this Guaranty shall not extend beyond such provision or circumstances, and no <br />other provision of this instrument shall be affected thereby. This provision shall control every <br />other provision of this Guaranty. Whenever used herein, the singular number shall include the <br />GUARANTY — IOANNIS SOTIROPOULOS Page 4 of 5 <br />
