SV NNY /5(F <br />O:,SRS <br />A <br />U t <br />CONSTRUCTION CONTRACT BETWEEN THE CITY OF SUNNY <br />SRC y,e Fip0.204Et ISLES BEACH AND WAYPOINT CONTRACTING, INC. <br />1 t of SUN S,o <br />CONTRACT NO. 2025-9051 <br />THIS CONTRACT is made and entered into this ;M#11 day ofUaArchw <br />.. 2025. by and <br />between CITY OF SUNNY ISLES BEACH, a municipal corporation of the State of Florida, whose <br />address is 18070 Collins Avenue sunny Isles Beach, Florida 33160 (hereinafter referred to as "the <br />City") and WAYPOINT CONTRACTING, INC., a Florida Corporation, whose Federal Employer <br />Identification (FEI) No. is 81-4602789 (hereinafter referred to as the "Contractor"). The City and <br />the Contractor hereby agree as follows: <br />WHEREAS, the City is in need of a Contractor to renovate an existing City building, located <br />at 18050 Collins Avenue, to become the new offices of the City Building Department along with a <br />commercial space to lease as a new cafe/restaurant, as more particularly described in Invitation to <br />Bid (ITB) No. 25-01-01, entitled "City Annex Building Construction Renovations," issued on January <br />24, 2025, which is attached hereto as Exhibit "A," and incorporated herein by reference and made <br />a part hereof (hereinafter referred to as the "Project" or the "Work"); and <br />WHEREAS, upon evaluation, Contractor was determined to have submitted the lowest <br />responsible and responsive bid; and <br />WHEREAS, Contractor is qualified, willing and able to provide and complete the Work <br />subject to the terms and conditions contained herein; and <br />WHEREAS, the City wishes to contract with Contractor to provide and complete the Work <br />for Three Million Seven Hundred Twenty Thousand Three Hundred Sixty -Five Dollars and No Cents <br />($3,720,365.00), plus Three Hundred Thousand Dollars and No Cents ($300,000.00) for <br />contingency, if necessary, resulting in a total not -to -exceed amount of Four Million Twenty <br />Thousand Three Hundred Sixty -Five Dollars and No Cents ($4,020,365.00); <br />NOW THEREFORE, in consideration of the mutual covenants contained in this Agreement <br />and other good and valuable consideration, the adequacy and receipt of which are hereby <br />acknowledged, the Parties agree as follows: <br />ARTICLE I <br />THE CONTRACT AND THE CONTRACT DOCUMENTS <br />1.1 The Contract <br />1.1.1. The Contract between the City and the Contractor, of which this Contract is a part, <br />consists of the Contract Documents.
