FBEACH AND REDSPEED FLORIDA, LLC hF l_O F'\ Oyu CrfF Oc Su„ ^H THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT between the CITY OF SUNNY ISLES BEACH ("City") and REDSPEED FLORIDA, LLC,,Vhose Federal Employer Identification (FEI) No. is 80-0218940 ("RedSpeed"), executed this day of May 2025, is made a part of the original Agreement between the City and RedSpeed, dated January 19, 2024, attached hereto as Exhibit "1" and incorporated herein by reference. The City and RedSpeed hereby agree as follows: 1. ENFORCED APPROACHES. City and RedSpeed wish to amend Section 4 of the Agreement, entitled "Enforced Approaches," and its corresponding Exhibit `B" to include the following intersections as additional Enforced Approaches: 7. Collins Avenue Northbound and 174th Street. 8. Collins Avenue Southbound and 174th Street. 9. Collins Avenue Southbound and 167th Street. 10. Collins Avenue Northbound and 167th Street. 2. ADDITIONAL COMPENSATION. City and RedSpeed also wish to amend the Agreement to provide additional compensation for the additional Enforced Approaches, in the amount of Four Hundred Forty Thousand Eight Hundred Dollars and No Cents ($440,800.00). The additional compensation provided herein will bring the total Agreement not -to -exceed amount to One Million Three Hundred Thirty Thousand Dollars and No Cents ($1,330,000.00). 3. TERM AND TERMINATION. City and RedSpeed wish to also amend Section 5 of the Agreement, entitled "Term and Termination" as follows: For purposes of the additional Enforced Approaches identified in the First Amendment and for calculating the term of the Agreement, the "Start Date" shall be the date of issuance of the first Notice of Violation at any of the newly added intersections, unless otherwise agreed upon in writing. 4. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein, all terms and conditions of the original Agreement shall remain in full force and effect. 5. CONFLICTING PROVISIONS. The terms, statements, requirements, or provisions contained in this First Amendment shall prevail and be given superior effect and priority over any conflicting or inconsistent terms, statements, requirements or provisions contained in any other document or attachment, including but not limited to Exhibit "1."
