General provisions <br />Notices and points of contact <br />All changes hereto shall be in written form, and by mutual consent by the designated Points of Contact: <br />No assignment <br />Neither ETA nor Customer may assign the Agreement, nor the performance of any obligations hereunder, unless <br />agreed to in advance by the other party. <br />Priority of agreements <br />Should any provision of this Agreement conflict with provisions of the System Support Agreement attached as <br />Software Support Agreement, the provisions of the System Support Agreement shall govern. <br />Should any provision of this Agreement conflict with provisions of the Software Subscription Agreement attached as <br />System Subscription Agreement, the provisions of the Software Subscription Agreement shall govern. <br />Partial invalidity <br />If any term, covenant, condition, or provision of the Agreement is held by a court of competent jurisdiction to be invalid, <br />void, or unenforceable, the remainder of the provision and/or provisions shall remain in full force and effect and shall be <br />in no way affected, impaired or invalidated. <br />Governing law <br />The validity, interpretation and performance of the Agreement shall be controlled and construed under the laws of the <br />State of Florida. All parties agree and accept that jurisdiction of any dispute or controversy arising out of this <br />Agreement, and any action involving the enforcement or interpretation of any rights hereunder shall be brought <br />exclusively in Miami Dade County, Florida, <br />Authority <br />The parties to this Agreement warrant and represent that they have the power and authority to enter into this <br />Agreement in the names and capacities stated herein. <br />Initials: ETA Transit a 7 <br />
