ADDENDUM TO SALES, SYSTEM SUBSCRIPTION, AND SYSTEM <br />SUPPORT AGREEMENTS WITH ETA PHI SYSTEMS, INC., <br />d/b/a ETA TRANSIT SYSTEMS <br />QUOTE NO. 20250515 <br />THIS ADDENDUM between the CITY OF SUNNY ISLES BEACH (hereinafter <br />"CITY" or "Customer") and ETA PHI SYSTEMS, INC., d/b/a ETA TRANSIT SYSTEMS, a <br />Florida corporation, and whose Federal Employer Identification (FEI) Number is 73-1689659 <br />(hereinafter "ETA"), executed this 19 day of September, 2025, is made a part of the Sales, <br />System Subscription, and System Support Agreements between CITY and ETA, dated September <br />19 , 2025 (hereinafter "Agreements"). CITY and ETA hereby agree as follows: <br />1. The following sections are added to the Agreements: <br />PUBLIC RECORDS. ETA shall be required to comply with the following requirements <br />under Florida's Public Records Law: <br />A. ETA shall keep and maintain public records required by the CITY to perform the service. <br />B. Upon written request from the CITY, ETA shall provide the CITY with a copy of the <br />requested records or allow the records to be inspected or copied within a reasonable time <br />at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as <br />otherwise provided by law. <br />C. ETA shall ensure that public records that are exempt or confidential and exempt from <br />public records disclosure requirements are not disclosed except as authorized by law for <br />the duration of the contract term and following completion of the contract if ETA does not <br />transfer the records to CITY. <br />D. Upon written request, ETA shall, upon completion of the contract, transfer, at no cost, to <br />the CITY all public records in possession of ETA or keep and maintain public records <br />required by CITY to perform the service. If ETA transfers all public records to CITY upon <br />completion of the contract, ETA shall destroy any duplicate public records that are exempt <br />or confidential and exempt from public records disclosure requirements. If ETA keeps and <br />maintains public records upon completion of the contract, ETA shall meet all applicable <br />requirements for retaining public records. All records stored electronically must be <br />provided by ETA to CITY, upon written request from CITY in a format that is compatible <br />with the information technology systems of CITY. Notwithstanding the above, neither <br />party shall be required to erase, delete, alter or destroy back-up media made in the ordinary <br />course of business. <br />IF ETA HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119, <br />FLORIDA STATUTES, TO ETA'S DUTY TO PROVIDE PUBLIC RECORDS <br />RELATING TO THIS CONTRACT, CONTACT THE CITY'S CUSTODIAN OF <br />PUBLIC RECORDS AT (305) 792-1703, CityClerk ,CITYfl.net, 18070 Collins Avenue, <br />4th Floor, Sunny Isles Beach, Florida 33160. <br />SCRUTINIZED COMPANIES.
