All Customer purchases off the Term Contract shall <br />contain the Term Contract name and number and shall be placed by the Customer. <br />Delivery or furnishing Products shall not occur until the Customer executes their <br />contract or transmits the purchase order, as defined in Rule 60A-1.001, F.A.C. <br />SECTION 6. PAYMENT AND FEES. <br />6.1 Pricing. The Contractor shall not exceed the pricing set forth in the Term Contract documents. <br />6.2 Best Pricing Offer. During the term of the Term Contract, if the Department or Customer <br />becomes aware of better pricing offered by the Contractor for substantially the same or a <br />smaller quantity of a Product outside the Term Contract, but upon the same or similar terms <br />of the Term Contract, then the Department or Customer may request that the Contractor <br />immediately reduce to the lower price. <br />6.3 Price Decreases. The following price decrease terms will apply to the Term Contract: <br />6.3.1 Quantity Discounts. The Contractor may offer additional discounts for one-time <br />delivery of large single orders. The Customer should seek to negotiate additional price <br />concessions on quantity purchases of any Products offered under the Term Contract. <br />6.3.2 Sales Promotions. In addition to decreasing prices for the balance of the Term <br />Contract term due to a change in market conditions, the Contractor may conduct sales <br />promotions involving price reductions for a specified lesser period. If conducting a <br />sales promotion, the Contractor must submit documentation to the Department's <br />Contract Manager identifying the proposed: (1) starting and ending dates of the <br />promotion, (2) Products involved, and (3) promotional prices compared to then - <br />authorized prices. The Contractor shall provide notice to Customers of the promotion <br />and shall make the promotional prices available to all Customers. <br />6.3.3 Equitable Adjustment, The Department may, in its sole discretion, make an equitable <br />adjustment in the Term Contract terms or pricing if pricing or availability of supply is <br />affected by extreme and unforeseen volatility in the marketplace, that is, by <br />circumstances that satisfy all the following criteria: (1) the volatility is due to causes <br />wholly beyond the Contractor's control, (2) the volatility affects the marketplace or <br />industry, not just the particular Term Contract source of supply, (3) the effect on pricing <br />or availability of supply is substantial, and (4) the volatility so affects the Contractor that <br />continued performance of the Term Contract would result in a substantial loss. <br />6.4 Purchase Prerequisites. The Contractor may be required to accept the State of Florida <br />Purchasing Card and MyFloridaMarketPlace (MFMP) purchase orders. The Contractor shall <br />not charge any fees for payments received via the State's P -Card. The Contractor must <br />ensure that entities receiving payment directly from Customers under this Term Contract <br />must have met the following requirements: <br />• Have an active registration with the Florida Department of State, Division of Corporations <br />(www.sunbiz.org), or, if exempt from the registration requirements, provide the <br />Department with the basis for such exemption. <br />• Be registered in the MFMP Vendor Information Portal (https:Hvendor. <br />myfloridamarketplace.com). <br />• Have a current W-9 filed with the Florida Department of Financial Services <br />(https://flvendor.myfloridacfo.com) <br />SP approved version 9-12-2024 Page 7 of 20 <br />628 <br />
