The Contractor will not be entitled to an increase in the Term Contract price <br />or payment of any kind from the Department for direct, indirect; consequential, impact, or <br />other costs, expenses, or damages, including costs of acceleration or inefficiency, arising <br />because of delay, disruption, interference, or hindrance from any cause whatsoever. <br />If performance is suspended or delayed, in whole or in part, due to any of the causes <br />described in this subsection, the Department may unilaterally (and with no recourse on the <br />part of the Contractor) identify and use an alternate source to complete any work under the <br />Term Contract as the Department deems necessary, in its sole discretion. After the causes <br />have ceased to exist, the Contractor shall perform at no increased cost, unless the <br />Department determines, in its sole discretion, that the delay will significantly impair the <br />value of the Contract to the Department or State, in which case the Department may (i) <br />accept allocated performance or deliveries from the Contractor, provided that the <br />Contractor grants preferential treatment to the Department with respect to Products <br />subjected to allocation; or (ii) terminate the Term Contract in whole or in part. <br />SECTION 8. CONTRACT MANAGEMENT <br />8.1 Department's Contract Manager. The Department's Contract Manager for the Term <br />Contract, who is primarily responsible for the Department's oversight of the Term Contract, <br />will be identified in a separate writing to the Contractor upon Term Contract signing in the <br />following format: <br />Department's Contract Manager Name <br />Department's Name <br />Department's Physical Address <br />Department's Telephone # <br />Department's Email Address <br />8.2 Contractor's Contract Manager. The Contractor's Contract Manager, who is primarily <br />responsible for the Contractor's oversight of the Term Contract performance, will be identified <br />in a separate writing to the Department upon Term Contract signing in the following format: <br />Contractor's Contract Manager Name <br />Contractor's Name <br />Contractor's Physical Address <br />Contractor's Telephone # <br />Contractor's Email Address <br />Either party may notify the other by email of a change to a designated contact providing the <br />contact information for the newly designated contact, and such notice is sufficient to effectuate <br />this change without requiring a written amendment to the Term Contract. <br />SECTION 9. COMPLIANCE WITH LAWS. <br />9.1 Conduct of Business. The Contractor shall comply with all laws, rules, codes, ordinances, <br />and licensing requirements that are applicable to the conduct of its business and that are <br />applicable to the Term Contract, including those of federal, state, and local agencies having <br />jurisdiction and authority, and shall ensure that any and all subcontractors utilized do the <br />same.
