The City of Plantation competitive procurement process concluded that RedSpeed was the <br />most advantageous firm for the City of Plantation, taking into consideration the evaluation factors <br />and criteria set forth in the RFSP and successful negotiations. Pursuant to the City's procurement <br />code, Section 62-13(C), purchases made under state general service administration contracts, <br />federal, county or other governmental contracts or competitive bids with other governmental <br />agencies, are exempt from the City's competitive bidding procedures. <br />3. Terms <br />3.1 Scope of Services and Term <br />A. General Scope of Services. <br />RedSpeed shall furnish a turnkey solution for "Speed Photo Enforcement System" (herein <br />"SPE System") to the City wherein all reasonably necessary elements required to implement and <br />operate the solution are the responsibility of RedSpeed, as further defined in this Agreement <br />("Services" or "Project"). The Services are more specifically described in Exhibit "A" attached <br />hereto and incorporated herein by this reference. All Services shall be subject to, and performed <br />in accordance with, this Agreement, the exhibits attached hereto, and all applicable local, state and <br />federal laws, rules, and regulations. RedSpeed acknowledges that the City may enter into <br />agreements with other firms for services similar to the Services that are the subject of this <br />Agreement or may have its own employees perform services similar to the Services. <br />B. Term._ <br />This Agreement shall have an initial term commencing upon the execution of this <br />Agreement by all Parties, and shall expire June 24, 2029. In addition, the City reserves the right to <br />extend this Agreement for one (1) additional five (5) year period, provided RedSpeed also agrees <br />in writing to the extension upon such terms as the City and RedSpeed agree. <br />4. RESPONSIBILITIES OF REDSPEED. <br />A. Control and Payment of Subordinates; Independent Contractor. <br />The Services shall be performed by RedSpeed or under its supervision. RedSpeed shall <br />determine the means, methods and details of performing the Services subject to the requirements <br />of this Agreement, and the requirements of state law. City retains RedSpeed on an independent <br />contractor basis and not as an employee. RedSpeed retains the right to perform similar or different <br />services for other governmental entities during the Term. Any additional personnel performing the <br />Services on behalf of RedSpeed shall also not be employees of City and shall at all times be under <br />RedSpeed's exclusive direction and control. RedSpeed shall pay all wages, salaries, and other <br />amounts due such personnel in connection with their performance of Services and as required by <br />law.
