Docusign Envelope ID: CC1087F1-D7F5-405B-9861-0027E049760A <br />ADDENDUM TO SERVICES AGREEMENT AND ORDER NO. 0-452361 <br />WITH GOVERNMENTJOBS.COM, INC., d/b/a NEOGOV <br />CONTRACT NO.2026-9079 <br />THIS ADDENDUM between the CITY OF SUNNY ISLES BEACH, Florida <br />(hereinafter "Customer" or "CITY") and GOVERNMENTJOBS.COM, INC., d/b/a NEOGOV, <br />whose Federal Employer Identification (FEI) No. is 33-0888748 (hereinafter "NEOGOV"), <br />executed March 2026, is made a part of the Order Form and Services Agreement (V011025) <br />between CITY and NEOGOV, dated March T, 2026 ("Agreement"). CITY and NEOGOV <br />hereby agree as follows: <br />1. Section 12(a) of the Agreement is amended as follows: <br />a) Definition of Confidential Information. "Confidential Information" means all <br />information disclosed by a party ("Disclosing Party") to the other party ("Receiving <br />Party"), whether orally or in writing, that is designated as confidential or that <br />reasonably should be understood to be confidential given the nature of the <br />information and the circumstances of disclosure. Customer's Confidential <br />Information includes its Customer Data. NEOGOV Confidential Information <br />includes the NEOGOV Intellectual Property and the Services. The Confidential <br />Information of each party includes the tet!ms and eendifiens of this Agreement and <br />all der Forms -(ined neiag); as well business and marketing plans, <br />technology and technical information, product plans and designs, and business <br />processes disclosed by such party. However, Confidential Information does not <br />include any information that (a) is or becomes generally known to the public <br />without breach of any obligation owed to the Disclosing Party, (b) was known to <br />the Receiving Party prior to its disclosure by the Disclosing Party without breach <br />of any obligation owed to the Disclosing Party, (c) is received from a third party <br />without breach of any obligation owed to the Disclosing Party, or (d) was <br />independently developed by the Receiving Party. <br />2.
