Docusign Envelope ID: AB158799-C7BC-4838-B581-OC84CDE50697 <br />Docusign Envelope ID: 6BO50412-BB53-4701-ADDF-476C8136OE34 <br />City of Pembroke Pines <br />FIRST AMENDMENT TO <br />VENDING MACHINE SERVICES AGREEMENT <br />BETWEEN THE CITY OF PEMBROKE PINES AND <br />COMPASS GROUP USA, INC. <br />THIS AMENDMENT ("First Amendment"), dated October 23, 2025 is entered <br />into by and between: <br />THE CITY OF PEMBROIKE PINES, a municipal corporation <br />organized and operating under the laws of the State of Florida, with an <br />address of 601 City Center Way, Pembroke Pines, FL 33025, <br />hereinafter referred to as "CITY", <br />and <br />COMPASS GROUP USA, INC., a For Profit Corporation as listed with <br />the Florida Division of Corporations, with a business address of 2400 <br />Yorkmont Road, Tax Department, Charlotte, NC 28217, hereinafter <br />referred to as "CONTRACTOR". "CITY" and "CONTRACTOR' may <br />hereinafter be referred to collectively as the "Parties" and individually as <br />a 'Tarty". <br />WHEREAS, on June 25, 2024, CITY and BETTOLI TRADING CORP. entered into the <br />Vending Machine Services Agreement ("Original Agreement") pursuant to Request for Proposals <br />("RFP") # RE-24-04, for an initial two (2) year period, which will naturally expire on August <br />2, 2026; and, <br />WHEREAS BETTOLI TRADING CORP. conveyed its intention to enter into an <br />Assignment, Assumption and Consent Agreement with COMPASS GROUP USA, INC., as the <br />successor company to assume all obligations presently reserved to BETTOLI TRADING CORP. <br />under this Agreement; and, <br />WHEREAS, effective August 20, 2025, COMPASS GROUP USA, INC. acquired <br />BETTOLI TRADING CORP.; and, <br />WHEREAS Section 22.4 of the Original Agreement provides that any change of <br />ownership of BETTOLI TRADING CORP. shall constitute an assignment which requires CITY <br />approval; and, <br />WHEREAS, on October 15, 2025 1. the City Commission approved that certain <br />document entitled "Assignment, Assumption, and Consent Agreement" between the CITY, <br />BETTOLI TRADING CORP. and COMPASS GROUP USA, INC.; and, <br />WHEREAS the Parties desire to supplement the terms of the Original Agreement, as <br />Page 1 of 8 2047-20250925 v, I <br />
