The firm must identify the specific <br />statute that authorizes the exemption from <br />the Public Records Law. Please note that <br />the financial statement exemption provided <br />for in Section 119.071(1)c, Florida Statutes <br />only applies to submittals in response to a <br />solicitation for a "public works" project. <br />EXCEPT FOR CLEARLY MARKED <br />PORTIONS THAT ARE BONA FIDE TRADE <br />SECRETS PURSUANT TO FLORIDA LAW, <br />DO NOT MARK YOUR RESPONSE TO THE <br />SOLICITATION AS PROPRIETARY OR <br />CONFIDENTIAL. DO NOT MARK YOUR <br />RESPONSE TO THE SOLICITATION OR <br />ANY PART THEREOF AS COPYRIGHTED. <br />ALL DOCUMENTS THAT THE FIRM <br />PURPORTS TO BE CONFIDENTIAL, <br />PROPRIETARY OR A TRADE SECRET <br />SHALL BE UPLOADED TO THE BONFIRE <br />WEBSITE AS A SEPARATE ATTACHMENT <br />CLEARLY IDENTIFYING THE EXEMPTION <br />BEING CLAIMED UNDER FLORIDA <br />STATUTES 119.07. <br />The city's determination of whether an <br />exemption applies shall be final, and the <br />proposer agrees to defend, indemnify, and <br />hold harmless the city and the city's officers, <br />employees, and agent, against any loss or <br />damages incurred by any person or entity as <br />a result of the city's treatment of records as <br />public records. <br />3.33 PURCHASING AGREEMENTS <br />WITH OTHER GOVERNMENT <br />AGENCIES <br />It ishereby made part of this solicitation that <br />the submission of any bid response to this <br />advertised request constitutes a bid made <br />under the same or similar terms and <br />conditions, for the same price, or better price, <br />to other government agencies if agreeable <br />by the proposer and the government agency. <br />At the option of the vendor/contractor, the <br />use of the contract resulting from this <br />solicitation may be extended to other <br />governmental agencies, including the State <br />of Florida, its agencies, political subdivisions, <br />counties, and cities. <br />Each governmental agency allowed by the <br />vendor/contractor to use this contract shall <br />do so independently of any other <br />governmental entity. Each agency shall be <br />responsible for its own purchases and shall <br />be liable only for goods or services ordered, <br />received, and accepted. No agency receives <br />any liability by virtue of this bid and <br />subsequent contract award. <br />3.34 CONE OF SILENCE <br />Prohibited Communication: In accordance <br />with the Cone of Silence Ordinance, Section <br />35.40 of the City's Code of Ordinances, <br />during the course of a sealed competitive <br />solicitation, a cone of silence shall be in <br />effect between: <br />(1) Any person or entity that seeks a <br />contract, contract amendment, award, <br />recommendation, or approval related to a <br />sealed competitive solicitation or that is <br />subject to being evaluated or having its <br />response evaluated in connection with a <br />sealed competitive solicitation, including a <br />person or entity's representative; and <br />(2) The City Manager or any person or <br />group of persons appointed or designated by <br />the City Commission or the City Manager to <br />evaluate, select, or make a recommendation <br />to the City Commission or the City Manager <br />regarding a sealed competitive solicitation, <br />including any member of the <br />selection/evaluation committee. <br />Effective Dates: A cone of silence shall be <br />in effect during a sealed competitive <br />solicitation process beginning upon the <br />advertisement for the sealed competitive <br />solicitation or during such other procurement <br />activities as declared by the City <br />Commission, and shall terminate at the time <br />the City Commission takes final action or <br />gives final approval of a contract, rejects all <br />bids or responses to the sealed competitive <br />RFP # RE-24-04 SECTION 3 - GENERAL TERMS & CONDITIONS Page 34 <br />
