Docusign Envelope ID: AB158799-C7BC-4838-B581-OC84CDE5OB97 <br />X-" '`-`"` City of Pembroke Pines <br />1.3 On 2021, the CITY Commission approved the ranking of the firms <br />responding to the referenced solicitation and authorized the negotiation of Continuing Services <br />Agreements for an initial <<Initial Contract Length» term. <br />1.4 Negotiations pertaining to the services to be performed by the CONTRACTOR were <br />undertaken and this Agreement incorporates the results of such negotiation. <br />1.5 CONTRACTOR is one of the «Number_ of Vendors_ in_ the_ Pool» highest ranked <br />qualified firms referenced above and is willing and able to perform such <br />«Service_ Description» for the CITY on an as needed basis, pursuant to the basic terms and <br />conditions set forth in this Agreement (hereinafter referred to as "Continuing Services <br />Agreement" or "Agreement"). <br />1.6 The purpose of this Continuing Services Agreement is not to authorize any specific <br />services, but to set forth certain terms and conditions which shall apply when and if <br />CONTRACTOR is chosen, from the pool of contractors, from a request to submit a bid on a <br />specific project. <br />1.7 CITY intends and CONTRACTOR acknowledges that any future services pursuant to this <br />Agreement shall be non-exclusive and performed on an as needed basis and at the sole discretion <br />of CITY, with no guaranty as to any minimum amount of work to be performed by <br />CONTRACTOR. <br />ARTICLE 2 <br />SERVICES AND RESPONSIBILITIES <br />2.1 CITY agrees to purchase and CONTRACTOR agrees to provide goods and/or services to the <br />City for specified projects as may be identified by CITY from time to time in CITY's sole discretion <br />(the "Services") all of which shall be the subject of this Agreement. CITY makes no representation <br />to CONTRACTOR of exclusivity nor of any minimum amount of work to be assigned to <br />CONTRACTOR by CITY. <br />2.2 CONTRACTOR shall provide the Services as identified herein and in the CITY's <br /><<Solicitation_Type_Abbreviation>> and CONTRACTOR's response thereto, collectively <br />incorporated herein as Exhibit "A" and made a specific part hereof, according to the prices and terms <br />contained therein. <br />2.3 The Parties acknowledge that this Agreement is a term contract and that CITY shall <br />purchase and CONTRACTOR shall provide the Services on an as -needed basis upon written <br />request of the CITY. Nothing contained herein or in any exhibit or amendment hereto, shall require <br />the CITY to procure any Services identified in Exhibit "A". <br />2.4 As needed, the CITY shall communicate with CONTRACTOR to determine <br />CONTRACTOR's availability to perform a particular assignment or project pursuant to the terms <br />and conditions of this Agreement.
