ADDENDUM TO STATEMENT OF WORD, QUOTE, AND AGREEMENT

<br />THIS ADDENDUM between the CITY OF SUNNY ISLES BEACH, Florida
<br />(hereinafter "CITY" or Client) and R2 UNIFIED TECHNOLOGIES, LLC., a Florida limited
<br />liability company, whose Federal Employer Identification (FEI) Number is 26-4280637
<br />(hereinafter "R2"), executed May 1q , 2026, is made a part of the Statement of Work No.
<br />02322025 and Quote No. R2UQ18879 between CITY and R2 dated May _ q- 2026 (hereinafter
<br />"SOW"). CITY and R2 hereby agree as follows:
<br />Section 10 of the SOW is amended as follows:
<br />This proposal or quotation includes data that shall not be disclosed outside Client and shall
<br />not be duplicated, used or disclosed, in whole or in part, for any purpose other than to
<br />evaluate this proposal or quotation, unless required under Florida law, including but not
<br />limited to, Chapter 119, Florida Statutes. If, however, a contract is awarded to this offer
<br />or as a result of, or in connection with, the submission of this data, Client shall have the
<br />right to duplicate, use or disclose the data to the extent provided in the resulting contract.
<br />This restriction does not limit Client's right to use information contained in this data if it
<br />is obtained from another source without restriction.
<br />2. Section 16 of the SOW is amended as follows:
<br />All non-public, confidential or proprietary information of R2, including but not limited to,
<br />all information contained within the SOW, as well as R2's systems, specifications,
<br />schematics, samples, patterns, designs, plans, drawings, documents, data, business
<br />operations, client lists, prieixg, disee ats or rebates, disclosed by R2 to Client, whether
<br />disclosed orally, disclosed through R2's actions, or disclosed or accessed in written,
<br />electronic or other form or media, and whether or not marked, designated or otherwise
<br />identified as "confidential" in connection with this SOW ("Confidential Information"), is
<br />confidential and is solely for the use of performing this SOW and may not be disclosed by
<br />Client to any third party, or copied by Client or any third party, unless ether -wise „ther-ized
<br />in advanee by R2 in writ", . unless required under Florida law, including but not limited
<br />to, Chapter 119, Florida Statutes.
<br />3. Section 17 of the SOW is amended as follows:
<br />R2 shall be entitled to injunctive relief for any violation of this Section. This Section does
<br />not apply to information that is: (a) in the public domain; (b) known to Client at the time
<br />of disclosure; er• (c) rightfully obtained by Client on a non -confidential basis from a thud
<br />party; or required to be disclosed under Florida law, including but not limited to, Cha tamer
<br />119, Florida Statutes.
