Second, the terms and conditions of ITB No. 318-2, entitled `Backflow Prevention and <br />Plumbing Services.," <br />C. Third, Contract No. 735 between Contractor and the City of Fort Lauderdale, appended <br />hereto as Attachment "A." <br />3. SERVICES. Contractor shall provide the Services pursuant to the terms and conditions <br />set forth in the Contract Documents, including but not limited to, providing backflow prevention <br />and plumbing services for City facilities. The Contractor shall at all times keep the premises free <br />from accumulation of waste materials or rubbish caused by his employees or the Work. Upon final <br />completion of the Work and before acceptance and final payment shall be made, the Contractor <br />shall clean and remove from the site and adjacent property, all surplus and discarded materials, <br />rubbish, and temporary structures. The Contractor shall restore in an acceptable manner all <br />property which, has been damaged during the execution of the work. The Contractor shall leave <br />the site and vicinity unobstructed in a neat and presentable condition throughout the entire area. <br />The Services shall be performed by Contractor to the full satisfaction of the City. Contractor <br />agrees to furnish all labor and material in a good and workmanlike and professional manner to <br />perform Services. Contractor agrees to have a qualified representative to audit and inspect the <br />Services provided on a regular basis to ensure all Services are being performed in accordance with <br />the City's needs and pursuant to the terms of this Agreement and shall report to the City <br />accordingly. Contractor agrees to immediately inform the City via telephone and in writing of any <br />problems that could cause damage to the City's property, improvements and persons. Contractor <br />will require its employees to perform their work in a manner befitting the type and scope of work <br />to be performed. In the event the Contractor fails to complete the Services pursuant to the terms <br />of this Agreement and City must undertake the completion of performance of Services, Contractor <br />agrees to indemnify the City for all costs incurred with respect to the completion of those Services <br />and any damages the City may suffer as a result of the Contractor's failure to perform the Services. <br />4. TERM. Subject to the provisions relating to the termination of this Agreement, as set <br />forth hereunder, the term of this Agreement shall commence upon the full execution of the <br />Agreement and shall terminate on May 5, 2027. Prior to, or upon completion of the initial term, <br />the City shall have the option, at its sole discretion, to renew this Agreement for two (2) additional <br />one (1) year terms. <br />The terms of Section 9, entitled "Warranty of Services & Materials," Section 10, entitled <br />"Defective Work," Section 12, entitled "Indemnification and Waiver of Liability," and Section <br />19, entitled "Compliance with Law," shall survive termination of this Agreement. <br />5. COMPENSATION. During the term of this Agreement, the City shall pay Contractor for <br />Services performed under this Agreement an amount not to exceed Seventy -Five Thousand Dollars <br />and No Cents ($75,000.00). Payment to Contractor for all charges and tasks under this Agreement <br />shall be in accordance with the Contract Documents under the following conditions: <br />A. Disbursements.
