Kimley-Horn and its subsidiaries have provided services in all 50 states and numerous countries. Because <br />of the many and varied projects we have completed, we are subject to various legal proceedings from time <br />to time and in the ordinary course of business. It is not practical to provide a complete list as part of this <br />proposal. In the last five (5) years, Kimley-Horn has had more than 29,993 active projects in Florida, 40 of <br />which had some form of litigation. Of these cases, 4 were dismissed, 24 were settled, and 12 are pending. <br />This represents 0.1100% of all projects completed by Kimley-Horn in Florida over the past five years. None <br />of the pending cases, if decided against Kimley-Horn, would have a material impact on our financial <br />statements or impair in any way our ability to serve our clients. Generally, these matters are covered by <br />insurance, and we consider them to be without merit.
