,NNT LSL t�`\B n •F104` r OFV ' ROOFTOP LICENSE AGREEMENT This Rooftop License Agreement(this "Agreement") is made effective as of the I i day of Jo , 2015, by and between The City of North Miami Beach, a municipal corporation of the State of Florida (hereinafter referred to as "Licensee"), and the City of Sunny Isles Beach, a municipal corporation of the State of Florida (hereinafter referred to as "City" or "Owner"). WHEREAS, the Licensee desires to replace existing water meters with new, state of the art Automated Meter Reading ("AMR") meters (the "Premises") through the City's water service area, and WHEREAS, the new AMR meters will collect water consumption information wirelessly over a secure radio frequency by the water utility; and WHEREAS. the Licensee desires to install Itron CCU 100/fixed network collector antennas at the City's Heritage Park Parking Garage and City Hall in order to accomplish this objective; and WHEREAS,the City has agreed to allow the Licensee to install said antennas at the City's facilities under the conditions described herein: NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00), the receipt and sufficiency whereof are hereby acknowledged, and for other good and valuable consideration, Licensee and the City hereby covenant and agree as follows: RIGHT OF ENTRY AND LICENSE 1. City hereby grants to Licensee and its contractor a right of entry (the "ROE") and license (the "License")to use certain rooftop space at the City's Heritage Park Parking Garage and City Hall (the "Premises") in order to construct, install, own, operate, maintain, repair, disconnect, replace and remove certain Itron CCU 100/fixed network collector antennas equipment (the "Equipment") as more fully described in Exhibits "A" and "B" attached hereto and incorporated herein by reference. The right of entry is subject to the availability and approval of the City and requires the accompaniment of a City representative. The location and placement of the equipment installation is subject to the approval of the City. CITY NOT A SUBCONTRACTOR OR AGENT OF LICENSEE 2. The parties agree that the City is not a subcontractor or agent of the Licensee and the City assumes no liability or responsibility for the installation, maintenance or removal of the Equipment or for the performance of any services provided by Licensee under this Agreement.
