SUNNY'S�El <br /> OF B <br /> a � <br /> AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH <br /> OF SUM AND SOUTHERN UNDERGROUND INDUSTRIES, INC. <br /> CONTRACT NO. C5966-1516-082 <br /> THIS AGRE•1 MENT (hereinafter referred to as the "Agreement") is made in duplicate, <br /> this 101 day of J(l 2016, by and between the City of Sunny Isles <br /> Beach (the "City") and S uthern Underground Industries, Inc. (the "Contractor"), a Corporation <br /> authorized to do business in the State of Florida whose Federal I.D. # is <br /> ZCo • ZSZI 23S <br /> WITNESSETH: <br /> WHEREAS, the City issued Invitation to Bid No. 16-04-01 ("ITB'') for the installation of <br /> drainage repairs within the 172"d street corridor in Sunny Isles Beach, of which one (1) response <br /> was received; and <br /> WHEREAS, Contractor was selected as a responsible, responsive bidder; and <br /> WHEREAS, the City Commission has determined that it is in the City's best interests <br /> award the bid to the Contractor to provide the Services; and <br /> WHEREAS, the City Commission has authorized the City Manager with the authority <br /> to enter into this Agreement with Contractor to perform the Services in a total amount not to exceed <br /> One Million Sixty Three Thousand Three Hundred Six Dollars and Twenty Five Cents <br /> (S1,063,306.25). <br /> NOW THEREFORE, in consideration of the foregoing, and the mutual <br /> covenants and compensation set forth herein, the City and Contractor agree as follows: <br /> ARTICLE 1. DEFINITIONS <br /> Agreement means this Agreement together with the Contract Documents. <br /> Bond(s) means the Payment Bond and the Performance Bond issued by a surety or sureties in <br /> accordance with the provisions of the Contract Documents. <br /> Commencement Date means the date on which Contractor commences on-site construction of <br /> the Project, but in no event later than five (5)days after the City's issuance of a Notice to Proceed. <br /> Contract Amount means the total sum of monies which has been agreed to between the Contractor <br /> and the City as the total price for the construction of the Project and the performance of all services <br /> under this Agreement. <br /> Contract Documents means this Agreement, Invitation to Bid("ITB")No. 16-04-01, any Addenda, <br /> Amendment, Supplemental Terms and Conditions, the Contractor's response to ITB No. 16-04- <br /> 01, the Bid Bond, the Payment and Performance Bond, Contractor's Schedule of Value, approved <br /> written interpretations and clarifications, Field Directives, Construction Change Directives, any <br /> Change Orders issued thereto, and any modifications, duly issued after execution of the <br /> Agreement. <br /> s I B <br />
