<br />If to the Provider: <br /> <br />Jim Dipietro, City Manager <br />City of Sunny Isles Beach <br />17070 Collins Avenue, Suite 250 <br />Sunny Isles Beach, FL 33160 <br /> <br />Either party to this Agreement may redesignate the recipient or change <br />the address of the recipient of notifications hereunder by notifying <br />the other party to the Agreement to such change in writing. <br /> <br />XIX. <br /> <br />AUTONOMY <br /> <br />Both parties agree that this Agreement recognizes the autonomy of and <br />stipulates or implies no affiliation between the contracting parties. <br />It is expressly understood and intended that the Provider is only a <br />recipient of support in the form of lEased vehicles and is not an agent <br />or instrumentality of the County. Furt~ermore, the Provider's agents <br />and employees are not agents or employees of the County. <br /> <br />xx. <br /> <br />BREACH OF AGREEMENT: COUNTY REMEDIES <br /> <br />1. <br /> <br />Breach <br /> <br />A breach by the Provider shall have occurred under this Agreement if: <br /> <br />a. the Provider fails to provide the services outlined in <br />the Scope of Services (Attachment A) within the effective <br />terms of this Agreement; <br /> <br />b. the Provider ineffectively or improperly uses the County <br />funds allocated or any vehicle provided under this <br />Agreement; <br /> <br />c. the Provider does not furnish the Certificates of <br />Insurance required by this Agreement or as determined by <br />the County's Risk Management Division; <br /> <br />d. the Provider does not furnish proof of licensure or <br />certification required by this Agreement; <br /> <br />e. the Provider does not submit or submits incomplete or <br />incorrect required reports; <br /> <br />f. the Provider refuses to allow the County access to <br />records or to the Vehicles or refuses to allow the County <br />to monitor, evaluate and review the Provider's program; <br /> <br />g. the Provider discriminates under any of the laws outlined <br />in this Agreement; <br /> <br />h. the Provider falsifies or violates the provisions of the <br />Drug Free workplace Affidavit; <br /> <br />1. the Provider attempts to meets obligations under this <br />Agreement through fraud, misrepresentation or material <br />misstatement; <br /> <br />-9- <br />
