REPRESENTATION BY CITY AND COUNTY <br /> <br />Each party represents that this Agreement has been duly approved and executed by <br /> <br /> <br />its governing body and that it has the required power and authority to enter into and perform' <br /> <br />the obligations under this Agreement. <br /> <br />9. INVALIDATION OF PROVISIONS. SEVERABILITY <br /> <br />Wherever possible, each provision of this Agreement shall be interpreted in such <br /> <br />manner as to be effective and valid under applicable law, but if any provision of this <br /> <br />Agreement shall be prohibited or invalid under applicable law, such provision shall be <br /> <br />ineffective to the extent of such prohibition or invalidity, without invalidating the remainder <br /> <br />of such provision or the remaining provisions of this Agreement, provided that the material <br /> <br />purposes of this Agreement can be determined and effectuated. <br /> <br />10.
