<br />!J <br /> <br />EXHIBIT "A" <br /> <br />CONSULTING AGREEMENT <br /> <br />THIS Consulting Agreement (hereinafter referred to as the "Agreement") is <br />made in duplicate, this ...\l~ay of July, 2000, by and between the City of Sunny Isles <br />Beach, Florida, (hereinafter referred to as the "City"), and The Chesapeake Group, Inc., <br />a Maryland corporation (hereinafter referred to as the "Consultant"). <br /> <br />RECITALS <br /> <br />WHEREAS, the Chesapeake Group, Inc., (the "Consultant") is primarily in the <br />business of economic analysis, planning and economic development; and <br /> <br />WHEREAS, the Consultant has represented it has substantial experience in <br />analysis of and implementation activity for communities interested in redevelopment and <br />economic improvement and quality development; and <br /> <br />WHEREAS, Consultant has completed the preliminary economic analysis study <br />and developed a data base of information relating to economic information; and <br /> <br />WHEREAS, the Consultant desires to enter into an agreement with the City of <br />Sunny Isles Beach (the City) to perform the services included in the Scope of Services <br />attached hereto as Attachmer.t A; <br /> <br />NOW THEREFORE, in consideration of the foregoing and for the mutual <br />covenants, representations and warranties and other good and valuable consideration, the <br />receipt and adequacy of which is hereby acknowledged, the parties agree as follows: <br /> <br />1. RECITALS. The Recitals set forth above are hereby incorporated into this <br />agreement and made a part hereof for reference.. <br /> <br />2. CONSULTING SERVICES. Consultant shall provide to the City, consulting <br />services and advice in connection with an economic analysis and market issues <br />utilizing the Preliminary Economic Development Assessment as a data base for <br />Sunny Isles Beach as more particularly described in Attachment "A" attached hereto <br />and made a part hereof. <br /> <br />3. TERM. Subject to the provisions relating to the termination of this Agreement as set <br />forth in Paragraph 8 hereunder, the term of this Agreement shall be for a period <br />beginning on the 11 th day of July, 2000, extending for a term of six (6) months, not to <br />exceed the 11 th day of January 2001, and may be extended as necessary, in writing <br />by the parties hereto. <br />
