10.0 CANCELLATION. <br />(A) This Agreement may be terminated by either party at will, with or without <br />cause, upon not less than thirty (30) days notice in writing by overnight <br />delivery, personal delivery, or registered mail return receipt requested to the <br />other party. Such notice shall be effective upon receipt. <br />(B) This Agreement will expire in the event that funds are not appropriated by <br />The Customer for renewal. <br />11.0 WARRANTIES <br />(A) CII warrants that all Services performed hereunder shall be free from defects <br />in materials and workmanship and shall be the kind and quality necessary to <br />assure performance of the equipment in accordance with the contract terms. <br />(B) Except as set forth above in this Section, CII makes no warranties, express or <br />implied, relating to the equipment including, without limitation, the warranties <br />of merchantability or fitness for a particular purpose of the equipment. The <br />manufacturer's warranties will apply in this case. <br />12.0 FOR WORK ON THE CUSTOMER'S PREMISES. <br />For the CII work under this Agreement which involves operations by CII on the <br />premises of The Customer, CII shall take all necessary precautions to prevent the <br />occurrence of any injury to person or property during the progress of such work <br />and CII shall maintain such Public Liability Property Damage and Employee's <br />Liability and Compensation Insurance as will protect The Customer from said <br />risks and from claims of any kind including, but not limited to, claims under any <br />applicable Worker's Compensation and Occupational Disease Acts. <br />13.0 INDEMNIFICATIONS. <br />(A) CII hereby agrees that CII shall indemnify and save harmless The Customer <br />from any and all liability, claims, damages, expenses, including attorney's <br />fees, proceedings, and causes of action of every kind and nature, including <br />losses incurred or suffered in consequences either of bodily injury to any <br />person or damage to any property, arising out of or connected with any act or <br />omission of CII, its agents, employees, or any of its subcontractors, in <br />connection with or pursuant to this agreement. CII further agrees that it shall, <br />at its own expense, defend any and all claims, suits, or proceeding, which may <br />be brought against The Customer in connection with CII. This includes, such <br />acts or omissions of any of its employees, agents or subcontractors, and shall <br />satisfy, pay and discharge any and all judgments that may be entered against <br />The Customer in any such action or proceeding. <br />Sunny Isles Beach Police Department Maintenance Contract rev. 1.04.3A <br />
